Aaron advises a wide range of companies and investors in various transactions involving intellectual property and corporate issues. He focuses primarily on technology licensing and transfers, mergers and acquisitions, FDA regulatory diligence and compliance, research and development collaborations, technology outsourcing, and other strategic commercial agreements. Aaron also provides clients with strategic advice regarding day-to-day commercial and corporate matters. He works with companies in a broad range of industries including technology, software, pharmaceutical, biotechnology, medical device, and finance.
Prior to law school, Aaron worked as a process engineer for a biotech startup company and also conducted original research in a biochemical engineering laboratory at the University of California, Santa Barbara.
- Represented DST Systems in $250 Million Purchase of ALPS from Lovell Minnick, with respect to intellectual property concerns.
- Represented SkillSoft in its $110 million acquisition of Element K, an e-learning company with respect to intellectual property concerns and technology licenses.
- Represented Beckton Dickinson in connection with its divestiture of various non-core business units.
- Seconded for 6 months as in-house counsel of Pfizer’s Animal Health Division, having primary responsibility for the negotiation and drafting of various commercial agreements.
- Conducted an internal investigation of a pharmaceutical company’s development and sales programs to evaluate concerns of off-label promotion and actions taken in light of potential safety signals.
