Avi represents clients on a wide range of tax matters, with a particular focus on mergers, acquisitions and divestitures, cross-border transactions, debt and equity offerings, corporate and partnership restructurings, joint ventures and the formation and operation of private investment funds.

Representative Clients and Matters

  • Represented Welsh, Carson, Anderson & Stowe in its $2.16 billion sale of US Oncology, Inc. to McKesson Corp.
  • Represented Thomas H. Lee Partners in its $1.1 billion acquisition of inVentiv, Inc., a pharmaceutical service provider.
  • Represented inVentiv, Inc. in its acquisitions of Campbell Alliance, i3 and PharmaNet Development Group.
  • Represented Welsh, Carson, Anderson & Stowe in a joint commitment with Sumitomo Corporation of America to inject up to $460 million of growth equity in Oxford Finance LLC.
  • Represented Dunkin’ Brands in connection with its $2 billion securitization structure including $500 million dividend recapitalization and its subsequent $420 million IPO.
  • Represented Clear Channel Outdoor and Clear Channel Worldwide in connection with their $2.5 billion offering of high yield bonds.
  • Represented the Official Committee of Unsecured Creditors of Charter Communications, Inc. in connection with the company’s $13.8 billion Chapter 11 restructuring.
  • Represented the Official Committee of Unsecured Creditors of R.H. Donnelley Corporation, in connection with the company’s $11.8 billion Chapter 11 restructuring.
