Representative Clients and Matters

• Represented TPG Capital in its $850 million acquisition of a property information business from the British Columbia-based IT company MacDonald, Dettwiler and Associates (MDA).
• Represented TPG Capital and the CPP Investment Board in their $5.2 billion acquisition of IMS Health Incorporated, the largest LBO in 2009 (according to Bloomberg).
• Represented Bare Escentuals, a premium cosmetics company in the United Sates and a leader in the mineral-based cosmetics market, in its $1.7 billion sale to Shiseido Co.
• Represented Berkshire Partners in its investment in and subsequent sale of United BioSource Corporation, a pharmaceutical services company.
• Represented Niagara Corporation, a portfolio company of Kohlberg & Co., in the acquisition of Plymouth Steel.
• Represented a consortium of seven private equity firms (Silver Lake Partners, Bain Capital, Blackstone, Goldman Sachs Capital Partners, Providence Equity Partners, KKR, and TPG) in their $11 billion acquisition of SunGard Data Systems, at the time the largest buyout since KKR bought RJR Nabisco in 1989.
