Practice
Chuck Larsen is a member of Ropes & Gray's Intellectual Property Group in the medical device practice, and the firm's Corporate Department. His practice has a strong emphasis in the fields of biomedical engineering, chemistry, biotechnology and business methods. Chuck's practice has involved a wide range of life sciences based technology applications, including mechanical and electrical implants, organ transplants, orthopedics, medical diagnostics, pharmaceuticals and drug delivery.
Chuck advises clients on how best to protect and commercialize their intellectual property portfolios in the United States and abroad. Chuck performs patent prosecution and conducts patent validity, infringement, and freedom to operate studies. He regularly performs intellectual property portfolio due diligence analysis and counsels investors as to the advisability of investing in such portfolios. His practice also includes negotiating and drafting collaboration agreements, patent, trademark and technology license agreements, contract manufacturing and research agreements, distribution and development agreements, and financing and acquisition agreements both domestically and abroad.
Recent examples of Chuck's work include advising publicly traded and privately held medical device and pharmaceutical companies in the formation and optimization of patent portfolios to protect company intellectual assets; preparing and filing a portfolio of patent applications to protect the sole product of an early-stage medical device company prior to entering clinical trials; advising a privately held medical device company in structuring strategic out-licensing relationships for exploiting proprietary sensor and processing technology; analyzing and preparing opinions for large publicly-traded medical device companies regarding competitor patents; advising a global pharmaceutical company in structuring a collaboration agreement for exclusive rights to pharmaceutical formulation and delivery device technology; advising a large non-profit medical center in forming and financing a spin-out company to exploit medical device technology owned by the center; and performing intellectual property and commercial diligence in a number of large-scale corporate transactions.
