Chris, head of the firm’s Tax & Benefits Department, advises clients on the federal income tax aspects of acquisitions and dispositions of public and private companies, and the formation and operation of private investment funds. Chris regularly represents major private equity sponsors, including Bain Capital, TPG Capital, Silver Lake Partners, and Berkshire Partners.

Representative Clients and Matters

Advised TPG Capital in its $3B acquisition of clothing retailer J. Crew Group, Inc. in 2011.
Advised Berkshire Partners and Bain Capital in their $1.1B billion leveraged buyout of SkillSoft in 2010.
Advised TPG Capital and the investment board of the Canadian Pension Plan in their $5.2 billion leveraged buyout of IMS Health Inc. in 2009.
Advised Bain Capital and THL in their $26.7B acquisition of Clear Channel.
Advised a consortium of seven private equity sponsors in their $11B acquisition of SunGard Data Systems.
Advised Bain Capital and its affiliates on the formation of private equity and hedge funds, including Bain Capital Partners Fund X and Brookside Capital Partners Fund.
