Christopher has a broad transactional practice that focuses on representing private equity firms and their portfolio companies as well as corporate clients in a variety of transactions and arrangements including mergers and acquisitions, leveraged buyouts, going private transactions, leveraged recapitalizations, joint ventures, preferred equity investments, management incentive plans, arrangements among investors, securities offerings and other general corporate and governance matters.
- Represented Metalmark Capital in its acquisition of Bostwick Laboratories, Inc., a urology-focused laboratory services provider.
- Represented Welsh, Carson, Anderson & Stowe in its acquisition of Matrix Medical Network, a provider of prospective health assessments for Medicare Advantage health plans.
- Represented Welsh, Carson, Anderson & Stowe in its investment in Oxford Finance Corporation.
- Represented Welsh, Carson, Anderson & Stowe in its acquisition of Smile Brands Group.
- Represented Welsh, Carson, Anderson & Stowe in its acquisition of K2M, Inc.
- Represented Welsh, Carson, Anderson & Stowe in its acquisition of GeoDigm Corporation and GeoDigm in its subsequent acquisition of National Dentex Corporation.
- Represented Welsh, Carson, Anderson & Stowe in its acquisition of Spectrum Laboratory Network and Spectrum in its subsequent acquisition of Carilion Labs.
- Represented Silicon Graphics, Inc. in its sale to Rackable Systems, Inc.
- Represented The TJX Companies, Inc. in the sale of its Bob’s Stores division.
- Represented BV Investment Partners in its acquisition of the Western Institutional Review Board.
- Represented Apax Partners in its acquisition of HUB International.
- Represented Welsh, Carson, Anderson & Stowe in its sale of MemberHealth, Inc. to Universal American Financial Corporation and Welsh Carson’s simultaneous PIPE investment in Universal American.
- Represented Silver Lake Partners in connection with its acquisition of Instinet Group Incorporated’s institutional broker-dealer business.
- Represented Welsh, Carson, Anderson & Stowe in connection with its buyouts of Select Medical Corporation, United Surgical Partners, Inc., US Oncology, Inc. and AmeriPath, Inc. and related equity and debt financings.
