David Saltzman advises multinational business enterprises, financial institutions, and investors on the international and domestic tax aspects of private equity transactions, M&A, and business restructurings. Well-versed in innovative, cross-border capital financing structures, David also regularly counsels clients on REITs, hybrid securities, equity, high-yield and sovereign debt offerings.

David’s work on behalf of leading private equity firms includes developing and implementing tax-efficient acquisition, financing, and post-closing cross-border operating and holding company structures for transactions that involve foreign and domestic corporations, foreign sovereigns, U.S. and non U.S. individuals, and tax-exempt entities. Other recent representations include counseling borrowers and financial sponsors on international tax issues related to cross-border financing arrangements; and advice to a financial services group in relation to its repayment of TARP funds.

Representative Clients and Matters

  • Represented longtime client Genzyme Corporation, one of the world’s leading biotechnology companies, in a variety of tax matters, including, its 2011 sale to sanofi-aventis for $20.1 billion in cash plus CVRs.
  • Represented Bain Capital in connection with its acquisition of MYOB in one of the largest private equity divestments ever in Australia. MYOB is Australia’s largest business software developer.
  • Represented Bain Capital in connection with its approximately $2.1 billion (not including assumed debt) proposed acquisition of restaurant chain Skylark from sellers including affiliates of Nomura Holdings.
