David Saul focuses his practice on the representation of life science companies, including those in the medical device, specialty pharmaceutical and biotechnology fields. David advises his clients on public and private company corporate and securities representation, public offerings, corporate governance counseling, start-up and venture capital transactions, and mergers and acquisitions. He also regularly acts as investors’ counsel in venture led financings.

Over the past several years, David has had one of the most active practices nationally representing life science companies prior to, in, and following, their initial public offerings. He has also acted as underwriters’ counsel in life science company public offerings for many investment banks. David also has extensive experience with mergers and acquisitions and has handled the acquisition of private company clients by leading life science companies. In addition, David has acted as outside general counsel and board advisor to numerous public and private companies.

Before joining Ropes & Gray, in January 2008, David was a partner in the Palo Alto office of Wilson Sonsini Goodrich & Rosati, where he had practiced as a corporate life sciences attorney since 1996. David began his legal career as a litigation and appellate associate with Pillsbury, Madison & Sutro (now Pillsbury Winthrop) in San Francisco.

Representative Clients and Matters

  • Served as primary outside counsel to BioForm Medical, Inc. (NASDAQ: BFRM), representing it thru several private financings, its November 2007 initial public offering, and in its $288 million sale to Merz Pharma Group, a privately-held German company.  
  • Represented TRIA Beauty in its 2010 Series CC equity and venture debt financing.  
  • Represented MDS Analytical Technologies (US) Inc., in its 2008 acquisition of Blueshift Biotechnologies.  
  • Represented Barrx Medical in its 2010 Series D equity financing.  
  • Represented NeurogesX in its May 2007 initial public offering. 
  • Represented SenoRx in its April 2007 initial public offering.


Professional & Civic Activities

David frequently speaks on a variety of corporate and securities matters including legal ethics, venture capital finance, M&A and proxy solicitation. He is on the Law United Cabinet of the United Way Silicon Valley. In addition, David is a member of the Board of Directors of Congregation Beth Jacob in Redwood City, California.
