Deborah Monson focuses her practice on commodities law, investment management and private investment funds. Debbie has represented commodity pool operators, commodity trading advisors, futures commission merchants and introducing brokers for over 25 years. In addition, she represents U.S. and offshore private investment funds, fund sponsors, investment advisers and fund administrators. She has significant experience with registration, regulation and compliance issues, as well with counseling clients on product design, fund formation, securities offerings, marketing, and negotiations and documentation with service providers and trading counterparties. For institutional investor clients, Deborah concentrates on reviewing and negotiating the terms of their investments in private equity, hedge, managed futures, real estate and infrastructure products. 

Representative Clients and Matters

  • Advised numerous clients on the implications of financial reform initiatives and initiatives by the Commodity Futures Trading Commission, including the inclusion of swaps in the definitions of commodity pool, commodity pool operator and commodity trading advisor; changes in position limits and aggregation; increased reporting; the rescission of registration exemptions; and restrictions on off-exchange foreign currency and metals transactions.
  • Advised international clients on the launch and expansion of their hedge fund and commodities platforms in the U.S. Advised two of the largest U.S. fund managers on restructuring private equity fund products to continue their global investment strategies pursuant to a new hedge fund structure.
  • Advised international investment managers on the launch of private equity funds of funds and review of their investments.
