Elizabeth advises investment advisers, investment companies, boards of trustees/directors, endowments, sovereign wealth vehicles, and private foundations in connection with regulatory and transactional matters and a range of products including open-end funds, closed-end funds, interval funds, and separate accounts.

Representative Clients and Matters

  • Represents RS Investments and the RS Funds (more than 40 retail and variable U.S. and international equity and fixed income funds) in connection with ongoing registration, compliance, and operations issues.  Advised in connection with a transaction between RS Investments and Oak Value Capital Management, Inc. pursuant to which the Oak Value management team joined RS Investments and the Oak Value Fund reorganized into a new shell fund in the RS family of funds.
  • Represents the independent trustees of the MFS Funds and serves as counsel to the MFS Funds complex, consisting of approximately 100 open- and closed-end funds across all asset classes (equity, fixed income, asset allocation, and alternative) with respect to all types of regulatory and compliance issues, new investment products, and the ongoing offering and operation of the funds.
  • Represents other investment company complexes, including the GMO Trust Funds and numerous funds in the DWS Funds complex, in connection with fund formation issues, compliance, disclosure, mutual fund reorganizations (both third party and internal), structuring of share classes, and offerings into non-U.S. jurisdictions.
  • Advises institutional investors (including investment advisers, endowments, sovereign wealth vehicles, and foundations) in connection with compliance policies and procedures, negotiation of advisory contracts, disclosure of ownership positions, and trading issues.
  • Represented Highland Capital Management and two of Highland’s closed-end interval funds in connection with the reorganization of the interval funds into a newly formed open-end fund.
