Greg focuses his practice on the representation of investment management industry clients, including registered investment companies and their directors, registered investment advisers and various privately offered investment pools. He has considerable experience with the formation and compliance maintenance of investment advisers and investment companies, the regular ongoing representation of registered investment companies’ boards of directors and the formation and ongoing representation of various privately offered investment pools. Greg also has experience with bank and venture capital financings and with mergers and acquisitions involving both publicly and privately held companies.
- Represents The Managers Funds and Managers Investment Group, LLC in a variety of different matters, including day-to-day compliance advice, assistance with the organization of various new funds, assistance with the funds’ investments in various derivatives, and assistance with board relations, among other matters.
- Represents HighMark Funds and its Independent Trustees in a variety of different matters, including day-to-day compliance advice, assistance with the merger of the Bailard and the North track fund complexes into the HighMark Funds, and assistance with a variety of different exemptive applications under sections 12d1-2, 15(c) and 17(a) of the Investment Company Act, among other matters.
- Represents the Independent Trustees of the Schwab Funds and the affiliated Laudus Funds complex, the Independent Trustees of the Dodge & Cox Funds and the Independent Trustees of the American Century Funds.
- Represents Western Asset Management Company in the organization and offering of its various onshore and offshore unregistered commingled investment funds.
- Represents Fiduciary Network in its various minority investments in independent fee only registered investment advisory firms.
