Harry Rubin is the Co-Leader of the firm's International Practice Group. He is a globally recognized authority on intellectual property transactions, technology commercialization, strategic alliances and outsourcing. He joined Ropes & Gray as a partner in 2007. Harry is former Co-Chair of the Technology Committee of the International Bar Association.
Harry has extensive experience in the representation of venture capital and private equity firms, technology and life sciences companies and IT users, including in acquisitions, mergers, spin-outs, global and domestic joint ventures, strategic alliances, joint development, technology transfers, in and out licensing, VAR, OEM, systems integration, applications development and maintenance (ADM) outsourcing, supply side/manufacturing outsourcing, and intellectual property protection and commercialization strategies. He has represented clients, ranging from startups to multinational companies, in the automotive, travel, defense, software, bio-information, advanced materials, life science, health IT, medical devices, entertainment, semiconductor, electronics, publishing, wireless and optical communications, financial services and internet sectors. He has published extensively on international business transactions, outsourcing, joint ventures, technology transfers, licensing, Internet law and intellectual property. Harry's book International Technology Transfers (Kluwer Law International) is widely considered the standard reference text in the field. He is a frequent speaker on these topics in leading conferences.
- Representation of Pfizer, American Express, State Street, TravelClick, Nypro Inc. and numerous other technology, medical device, financial services and media companies in complex outsourcing, joint ventures, technology and IP spinouts, business restructuring and asset sales.
- Representation of Bain Capital, TPG Capital, Silver Lake Partners, Welsh, Carson, Anderson & Stowe, Castanea Partners, Huntsman Gay Global Capital and other private equity and venture capital firms in strategic due diligence for mergers and acquisitions and negotiations of key IP and technology terms in transactions varying from several million to multi-billion dollars in value.
- Representation of technology, medical device and luxury product companies in the strategic commercialization of their IP assets and portfolio structuring.
- Provide general counseling on strategy, corporate IP, licensing and transactions for Microvision, Mount Sinai School of Medicine, Automotive Coalition for Traffic Safety (ACTS), Catalytic Solutions, CellMDX and CeLight.
