How We Help Our Clients

Corporate Transactions

Our Corporate and International Tax lawyers assist our clients, which include private equity funds, in structuring, negotiating and implementing trans-national investments, mergers, acquisitions and alliances as well as in developing and implementing international distribution systems for their products and services.  These activities often include advice and support from Ropes & Gray lawyers with knowledge of foreign competition law and pre-merger notification requirements as well as intellectual property lawyers who assist in obtaining and maintaining important intangible assets.

Investment Management

Lawyers from our Investment Management Group advise foreign investment management firms and other financial institutions with respect to their U.S. operations including:

  • Acquiring U.S. advisors;
  • Complying with foreign control regulations;
  • Advising on exempt activities;
  • Establishing and registering U.S. investment advisor and broker dealer subsidiaries;

Life Sciences

Our Life Sciences lawyers assist international pharmaceutical and biotechnology companies in a variety of matters.  For example:

  • We advise foreign pharmaceutical and biotechnology companies in public and private securities offerings in the United States and abroad, as well as in acquisitions of U.S.-based entities.
  • We regularly represent foreign life sciences companies in negotiating joint venture, collaboration and licensing arrangements with research institutions, universities and biotechnology and pharmaceutical companies within and outside of the United States. 
  • We assist foreign pharmaceutical and biotechnology companies in  establishing operations and distribution systems within the United States and, where necessary, to obtain FDA and other regulatory approvals and comply with other regulations affecting life sciences companies operating in this country.

In addition, we assist our domestic life sciences clients with their international activities and agreements including, product licensing and sales, technology development and transfer and clinical trials agreements.

Litigation

Lawyers from our Litigation Group represent large international insurers in U.S. based litigation and assist our foreign and domestic clients to resolve disputes through litigation and commercial arbitration in North and South America, Europe and Asia.  We also assist our clients in managing international regulatory investigations and government enforcement actions.
