They range from mature U.S.-, European-, and Asian-based multinationals with significant offshore engineering, manufacturing, marketing, sales, and service organizations to both domestic and foreign start-up companies seeking new markets for their products and services. How We Help Our Clients Our cross-border transactions include: mergers and acquisitions, commercial activities, joint ventures, and strategic alliances, as well as the distribution and licensing of products. Corporate Transactions - Our corporate and international tax lawyers assist our clients with: private equity funds, structuring, negotiating, and implementing transnational investments, mergers and acquisitions, and alliances, and developing and implementing international distribution systems for their products and services. These activities often include advice and support from our lawyers who have knowledge of foreign competition law and pre-merger notification requirements, and our intellectual property lawyers who assist in obtaining and maintaining important intangible assets. Investment Management - Lawyers from our Investment Management practice group advise foreign investment management firms and other financial institutions with respect to their U.S. operations including: acquiring U.S. advisors; advising on exempt activities; establishing and registering U.S. investment advisor and broker dealer subsidiaries; organizing private investment companies, mutual funds, ERISA group trust, hedge funds, and investment partnerships; and providing counsel on U.S. and international taxation and ongoing regulatory compliance. Life Sciences - Our Life Sciences practice assists U.S. and offshore pharmaceutical, biotechnology, and medical device companies in a variety of matters. Examples include: advising them in public and private securities offerings in the United States and abroad, as well as in acquisitions of U.S.-based entities; negotiating joint venture, collaboration, and licensing arrangements with research institutions, universities, and biotechnology, pharmaceutical, and medical device companies within and outside of the United States. We also assist these companies in establishing operations and distribution systems within the United States and, when necessary, with obtaining FDA and other regulatory approvals and complying with other regulations affecting life sciences companies operating in this country. Litigation - Our Litigation practice handles litigation, arbitration, and mediation for companies doing business in the United States and, U.S.-based companies doing business abroad. We also represent clients in international arbitration and coordinate multijurisdictional litigation. In addition, we represent large international insurers in U.S.-based litigation and assist our foreign and domestic clients in resolving disputes through litigation and commercial arbitration in North and South America, Europe, and Asia. We also assist our clients in managing international regulatory investigations and government enforcement actions.
