Jim works with multi-national organizations in High Technology, Life Sciences and Private Equity industries to help protect and achieve their business goals. In serving them, Jim often draws on his combined corporate and litigation experience to provide advice allowing clients to shape workable solutions for complex problems.
Jim regularly assists clients in conducting M&A transactions, implementing joint ventures, and structuring complex business licensing or outsourcing arrangements. Clients also turn to him for strategic advice on maximizing the value of their technology and intellectual assets. Finally, Jim’s litigation experience includes coordinating client responses to US government investigations, leading ADR proceedings, and otherwise handling a variety of complicated insurance coverage, technology licensing, and patent infringement matters.
Jim is the Managing Partner of the firm’s Tokyo Office.
- Advise major PRC-based internet company on its proposed relationships with multi-national software and technology providers.
- Represented Quanta Computer in connection with its joint venture with 3M to develop, manufacture and market touch screen technology solutions.
- Represented Bain Capital in its acquisition of D&M Holdings, a Japanese publicly traded company controlling Denon, Marantz, and other audio branded product companies. This transaction was named the ALB 2009 Japan Deal of the Year (TM&T).
- Represented Bain Capital in the proposed acquisition of 3Com and relationship with Huawei Technologies
- For major pharmacy benefits management concern, handled renegotiation of troubled, existing IT outsourcing relationship and subsequent RFP for and negotiation of replacement outsourcing relationship.
- Regularly work with various multi-national corporations in structuring commercial and technology relationships in Asia.
