Jay advises clients on leveraged finance, including leveraged buy-outs, cross-border financings and other complex leveraged transactions. From his extensive experience representing private equity sponsors, public and private companies, investment banks, lenders and other debt investors, Jay brings a deep understanding of industry practices and market terms together with commercial judgment to his practice. Jay has extensive experience in structuring and negotiating credit facilities, bridge financings, high-yield debt offerings, mezzanine financings and structured finance transactions as well as restructurings and workouts.

Representative Clients and Matters

  • $2.0 billion in aggregate financing for Thomas H. Lee Partners’ acquisition of inVentiv Health and inVentiv Health in its subsequent acquisitions of Campbell Alliance Group, Ingenix Pharmaceutical Services, Inc. and PharmaNet Development Group.
  • $2.075 billion in aggregate financing for The Blackstone Group’s proposed acquisition of Emdeon, Inc.
  • $1.25 billion of aggregate financing for TPG Capital’s acquisition of Axcan Pharma, a leading multi-national pharmaceutical company, and Axcan’s subsequent acquisition of Eurand NV.
  • €2.66 billion offering of high yield bonds for Liberty Global’s acquisition of Unitymedia, Germany's second-largest communications services provider.
  • $1.975 billion in financing for the leveraged recapitalization of Dunkin’ Brands, including the refinancing of its “whole business securitization.”
  • $1.8 billion in financing for the acquisition by Bain Capital and The Blackstone Group, together with NBC Universal, of The Weather Channel Companies, including The Weather Channel television network and Weather.Com
  • $22.1 billion in financing for the acquisition of Clear Channel Communications, the largest radio broadcasting company in the U.S. and a worldwide leader in outdoor advertising, by Bain Capital and Thomas H. Lee Partners.
