Joel represents institutional investors and private and public companies in the full range of their business and strategic development initiatives. As a former vice-president and general counsel of a public telecommunications provider, he approaches matters with a deep awareness and appreciation of the business priorities of operating companies from the client side of the relationship. Venture capital, growth capital, and PIPE investors rely on Joel’s counsel for matters ranging from evaluating and structuring initial investments through assisting with investment exits. For operating companies, Joel focuses on start-up matters, private and public equity and debt financings, general business and strategic contracting, governance, merger and acquisition activities, and general legal advice.
- Continuously represents Carter’s, Inc., a leading provider of children’s apparel, since 2001, including in its 144A issuance of senior notes in 2001, its IPO in 2003 and a secondary offering in 2004, and its $312 million acquisition of OshKosh in 2005 as well as governance, compliance, and SEC reporting
- Represented MicroVision, Inc., a provider of an ultra-miniature display technology platform designed to enable next-generation display and imaging products, since 2002, including multiple PIPE financings of notes, preferred shares, common shares and warrants, underwritten and registered direct offerings, and its recent equity commitment facility.
- Represented Bain Capital Ventures since 2002 in hundreds of venture and growth capital investments.
- Represented Bain Capital Ventures in various exit transactions, including sale of Liberty Dialysis, an operator of dialysis clinics throughout the country, to KRG Capital Partners in 2010.
- Represented Berkshire Partners in its $125 million investment in United Biosource Corporation, a global scientific and medical affairs organization, in 2009.
- Represented Berkshire Partners in its tower facility development and acquisition collaboration with Crown Castle.
- Represented TPG Growth in its acquisition of Kosta Browne Winery, a boutique producer of Pinot Noirs, through its Vincraft Group portfolio company.
- Represented Nordion, Inc., formerly MDS, Inc., a global life sciences provider of products and services for the development of drugs and diagnosis and treatment of disease, in its 2007 $615 million acquisition by tender offer of Molecular Devices.
- Represented The Gymboree Corporation in its 144A issuance of $400 million of senior notes to finance its acquisition by Bain Capital.
