Practice

John Chesley has been a member of the Health Care Group at Ropes & Gray since 1985. For over 20 years he has focused on meeting the needs of health care clients in complex transactions and challenging regulatory contexts.

John blends transactional skills with knowledge of tax-exempt organizational law, health care regulatory and reimbursement issues and securities law disclosure requirements in another area critical to health care providers - tax-exempt financings, serving in all roles ranging from borrower's counsel to bond counsel, underwriter's counsel and investor's counsel. He has major tax-exempt financings to his credit in California, Massachusetts, New York and Rhode Island from high-yield unrated debt for assisted-living construction projects to AAA-rated bond issues for Stanford and Harvard.

Professional Experience

John's practice is broad. He serves as outside general counsel for a large faith-based California hospital system, and has represented a range of other providers including nursing homes in decertification proceedings, individual physicians in employment contracting, and a major nonprofit HMO during state receivership proceedings. He served as acquisition counsel to an innovative joint venture between a prominent physician clinic and a major HMO formed to acquire and operate primary care physician practices. He was a founding member of the board of directors of the largest state trade group in the assisted living industry, which turned to him to draft legislation that became the Massachusetts Assisted Living Act in 1994, a non-"health care" framework for fostering flexible approaches to enabling the elderly to age in place. He has spoken frequently on topics ranging from Stark and Fraud and Abuse laws to health care regulatory reform to HIPAA.
