Jonathan’s practice focuses primarily on private equity transactions and mergers and acquisitions. Jonathan represents private equity sponsors and other participants in connection with stock and asset acquisitions, divestitures, mergers, joint ventures, financings, tender and exchange offers, shareholder arrangements, and a variety of other transactions. He also represents companies in connection with corporate governance, defensive measures (including shareholders' rights plans), and other matters. Jonathan works with clients such as Blackstone Capital Partners, Cressey & Co., Bain Capital and Berkshire Partners.
- Represented Blackstone Capital Partners in its acquisition of Emdeon Inc.
- Represented Berkshire Partners in its $820 million sale of Electro-Motive Diesel Inc., a portfolio company of Berkshire Partners and Greenbriar Capital to Progress Rail, a subsidiary of Caterpillar.
- Represented portfolio company Axcan Pharmaceuticals in its successful tender offer for Eurand N.V.
- Represented Bain Capital in its successful tender offer for Gymboree Corporation.
- Represented Cressey & Co. in its acquisition of VetCor Professional Practices, an owner and operator of 41 full-service animal hospitals in the United States.
- Represented a global commodity futures exchange in its $12 billion strategic merger with a rival exchange.
- Represented Sirtris Pharmaceuticals in its sale to GlaxoSmithKline.
- Represented a private investment firm in its $365 million acquisition of a premier West Coast ski resort.
