Lucas focuses his practice on the taxation of unregistered pooled investment funds (hedge funds, private equity funds (venture and LBO), real estate funds, funds-of-funds – in each case both sponsors and investors), investment advisors as well as start-up companies. He counsels his fund clients and fund investors on structure, investments and operations issues including investments into (e.g., sovereign wealth fund issues, ECI/FATCA taxation) and, in collaboration with non-U.S. counsel, out of the United States (e.g., investments into Japan, Hong Kong/PRC, India/Mauritius and Europe, including UCITS-related issues).

In addition, Lucas counsels investment advisors on operations matters and on acquisitions.

Lucas counsels start-up companies in both San Francisco and Silicon Valley on issues ranging from tax-efficient funding to M&A to executive compensation matters.

Representative Clients and Matters

  • Regularly assists Blackstone Alternative Asset Management with respect to tax issues related to Blackstone’s hedge fund seed investments.
  • Represents unregistered PIMCO funds on a variety of fund formation and operations tax issues.
  • Advises Western Asset Management Company on tax aspects of fund operations.
  • Has represented Goldman Sachs Asset Management with regard to investments in private-equity funds.
  • Represented Bain Capital on tax matters relating to a number of investments (e.g., investment in UGS).
  • Represented Harvard Management Company on a number of U.S. and cross-border investments.
  • Represented Cadogan Management on tax issues related to a management buy-out of the firm from Fortis Investments.
  • Advised Affiliated Managers Group on tax aspects of a number of private joint venture investments.
  • Recently represented a San-Francisco based social-network gaming enterprise on executive compensation matters relating to an acquisition of an East Coast online gaming company.
  • Recently represented a Silicon Valley medical devices company on tax matters related to its acquisition.
