For over 20 years, Mark has devoted his practice to advancing the business needs of companies and organizations. Mark's broad corporate practice includes acquisitions and dispositions, public offerings and other financing transactions for issuers, underwriters and investors, organizing new ventures, intellectual property licensing, and general representation of public and private companies. He has extensive experience with public company disclosure and reporting, bank holding company regulation, the organization and early-stage financing ventures of new entities, and the formation of complex joint ventures.

Mark is highly experienced representing issuers, investors, and underwriters with respect to bank and holding company securities law and transactional matters, including offerings of trust preferred, senior and subordinated debt and common stock, and private equity investments in banking entities.

Mark co-leads the Banking Practice.

Representative Clients and Matters


    A valued and trusted business and regulatory law advisor, Mark has developed client relationships that are enduring. He has advised State Street for many years on public offerings, including novel regulatory capital instruments, as well as complex acquisitions and dispositions, including the sale of its multibillion dollar private asset management business to US Trust, and the sale to ING of CitiStreet, a leading retirement benefit service provider. He represents CrossHarbor Capital Partners, a successful alternative investment management firm, and helped them create and eventually sell Winmark Equipment Finance, a joint venture with Mass Mutual. EasCorp, a corporate credit union specializing in meeting the needs of other credit unions, has turned to Mark for advice with respect to a wide range of matters for more than fifteen years.
