Maurice, a partner in Ropes & Gray's Finance group in London, and one of the City’s leading finance lawyers, provides cutting-edge solutions to clients on complex transactions and cross-border financings. He advises clients in matters such as acquisition financings, telecom financings, restructurings, structured/illiquid credits, and workouts. Maurice is Co-Managing Partner of the London office.
Practicing law for more than 30 years in London's sophisticated finance market, Maurice’s practice has led him to acting over time for most of the leading arranger banks in the investment grade and leveraged finance market including, most recently, Deutsche Bank, JP Morgan, Credit Suisse, and Goldman Sachs. He has also represented a number of sponsor and corporate clients as borrowers including Liberty Global, CVC Capital Partners, and Nordic Capital.
- Acting for the management team of Kaupthing Singer & Friedlander on the management of the rump of the administration loan book and in connection with the potential accumulation of additional loan books in run-off.
- Acting for the mezzanine lenders providing €395 million of secured mezzanine debt in connection with financing and structuring the acquisition of Swedish security group, Securitas Direct AB, by Bain Capital and Hellman & Friedman.
- Acting for Liberty Global Inc. in connection with the financing for its approximate €3.16 billion acquisition of Germany's third-largest cable TV operator Kabel BW Erste Beteiligungs GmbH, from Swedish private equity group EQT Partners AB.Acting for Telenet Finance Luxembourg S.C.A. in connection with the issuance of its €500 million 6⅜% Senior Secured Notes due 2020
- Acting for TPG in the €1.2 billion secondary buyout acquisition of Ontex N.V., from Candover Partners Limited; the debt financing was supplied by Goldman Sachs and Bank of America Merrill Lynch
- Acting for AMP Capital Investors, AXA Mezzanine, CELF Investment Advisors, CVC Cordatus, European Capital, European Credit Management, GSC European CDO, MezzVest as Second Lien and Mezzanine Lenders in connection with the negotiation with Carlyle (as sponsor) of the financial restructuring of the French/US group, Zodiac Marine & Pool Group
- Acting for Liberty Global Inc. in connection with its €2.6 billion high yield offering to finance the acquisition of Unitymedia GmbH, and the provision of a €80 million senior revolving credit facility for UPC Germany GmbH, this was the largest secured bond in European high yield history, the largest ever high yield deal in the cable space, the second largest high yield deal ever completed in Europe, the largest private equity exit in Europe in 2009 and the first major European deal where high-yield bonds have usurped bank loans to fund an acquisition
- Acting for UPCB Finance Limited in connection with its issuance of €500 million principal amount of 7⅝% Senior Secured Notes due 15 January, 2020
