Nancy Forbes has been a partner at Ropes & Gray since 1985. She practices in the firm’s Boston and San Francisco offices. Her practice focuses on the representation of academic medical centers, children’s hospitals and multi-provider systems.

Professional Experience

Nancy has handled numerous health care mergers, acquisitions and joint ventures and in that capacity, has advised on all aspects of business, reimbursement and regulatory diligence and negotiated the resulting price adjustments and indemnity provisions. She has extensive experience in structuring new business ventures, particularly those involving new medical technologies, and in advising clients on the reimbursement, regulatory and compliance implications of differing business models and legal structures. She has both overseen and directed internal audits and investigations involving a wide range of reimbursement issues and billing practices, providing advice to client audit committees and governing boards on disclosure and financial reporting obligations and related corporate compliance activities. Her clients have also turned to her for advice on Medicaid disproportionate share qualification and funding issues, including the development of state health plan amendments and related state legislation in conformity with federal requirements for provider taxes and intergovernmental transfers. For many years, she has advised on various cost reporting issues and has handled appeals to the PRRB. In addition to her corporate work, Nancy advises clients on basic science and human subjects research, research misconduct and conflicts of interest matters.

Nancy has spoken extensively on the subjects of mergers and acquisitions, nonprofit corporate governance, illegal remuneration, funds flow models in an academic medical center setting, hospital/physician collaborative activities, hospital charity care and pricing policies and clinical practice guidelines.
