Richard focuses his practice on representing private-equity funds and their portfolio companies, investment banks, and publicly traded companies in business combinations, public offerings, and Rule 144A/Reg S financings. In addition, he advises clients on securities law compliance and general corporate matters.
- Represented J.W. Childs Associates in a $121.4 million initial public offering of its portfolio company Mattress Firm Holding Corp. (Nasdaq: MFRM), a leading specialty retailer of mattresses and related products and accessories.
- Represented The Blackstone Group (NYSE: BX) in offerings of an aggregate of $750.0 million of Rule 144A/Reg S notes to finance its acquisition of Emdeon, Inc., a leading provider of healthcare revenue and payment cycle management and clinical information exchange solutions.
- Represented Silver Lake in its sale of $267.7 million of common stock of Nasdaq OMX Group Inc. (Nasdaq: NDAQ).
- Represented Bain Capital in a $400.0 million Rule 144A/Reg S notes offering to finance its acquisition of The Gymboree Corporation, a specialty children apparel retailer.
- Represented Green Mountain Coffee Roasters, Inc. (Nasdaq: GMCR) in Luigi Lavazza S.p.A’s investment in $250.0 million of Green Mountain’s newly issued common stock.
- Represented special-purpose vehicle UPCB Finance Limited in a €500.0 million Rule 144A/Reg S secured notes offering (nominated for “Finance Team of the Year” award by Legal Business).
- Represented Liberty Global Inc. (Nasdaq: LBTYA) in a €2.6 billion Rule 144A/Reg S secured notes offering to finance its acquisition of Unitymedia GmbH, Germany’s second largest cable operator (the largest secured bond deal in European high-yield history and the largest ever high-yield deal in the cable space).
- Represented Citi and Credit Suisse in a $101.4 million initial public offering of Medidata Solutions, Inc. (Nasdaq: MDSO), a leading global provider of hosted clinical development solutions.
- Represented a worldwide leader in children’s and family leisure time products and services in two subsequent registered notes offerings in the amounts of $425.0 million and $500.0 million.
