Ryan is a partner in the Corporate Department and is a member of the Securities & Public Companies and Life Sciences Practice Groups.  For years, Ryan has represented leading public and private companies, investors and underwriters in the biotechnology, technology and medical device industries in connection with securities offerings and business combination transactions. In addition, he has served as principal outside counsel to more than a dozen NYSE and NASDAQ-listed companies, and regularly serves in this role with privately held venture-backed companies.  He regularly advises management teams and boards of directors on corporate law matters, SEC reporting, corporate governance and mergers & acquisitions. 

Ryan’s notable engagements have included representing SAIC, a Fortune 500 technology company, in a $1.3 billion initial public offering and related corporate restructuring, including payment of a $2.5 billion dividend; representing ALZA, a Fortune 1000 pharmaceutical company, in connection with a $1.1 billion Rule 144A convertible debt offering and key aspects of its $12 billion sale to Johnson & Johnson; representing a NASDAQ-listed specialty pharmaceutical company in connection with multiple follow-on equity offerings, including underwritten follow-on offerings, a “bought” offering, registered direct offerings, PIPEs and at-the-market (ATM) offerings, raising over $200 million in total.  Ryan also speaks and presents on current trends and best practices related to raising capital, SEC reporting matters and strategic transactions and has authored two chapters in books on corporate governance. 

Before joining Ropes & Gray in 2011, Ryan was a partner in the Corporate Law Department at Goodwin Procter. 


Representative Clients and Matters

  • Represented a publicly traded computer storage company in a $310 million tender offer.
  • Represented a French software firm in a $260 million multinational exchange offer to redomicile in the United States.
  • Represented a Fortune 500 technology company in a $1.3 billion IPO and corporate restructuring, including payment of a $2.5 billion dividend.
  • Represented NASDAQ-listed specialty pharmaceutical company in a follow-on offering raising $80 million in proceeds to fund the launch of a new drug.
  • Represented underwriter in a “bought” offering for a medical device company raising $79 million in proceeds.
  • Represented an enterprise software company in an IPO raising $75 million in proceeds. 
  • Represented underwriter in a $62 million IPO for a specialty pharmaceutical company.
  • Represented NASDAQ-listed biotechnology company in disposition of a Phase II drug program and the subsequent acquisition of a Phase III program, as well as a follow-on offering raising $60 million in proceeds.
  • Represented other biotechnology and technology companies in a range of securities offerings, including IPOs, follow-on offerings, PIPEs and “at-the-market” (ATM) offerings.
  • Represented numerous public life sciences and technology companies in significant acquisitions and divestitures in Australia, Japan, and the United Kingdom.
  • Represented hedge funds and venture funds in connection with various investments in publicly traded and privately held companies in the life sciences, technology and clean-tech industries.


Professional & Civic Activities

  • Ryan is a member of the American Bar Association’s Sub-committee on Negotiated Transactions, which focuses on mergers and acquisitions, and is a member of the San Francisco and San Diego Bar Associations. 
  • Ryan is active in advising various not-for-profit entities in the San Francisco Bay Area.
