Represents numerous biotechnology and pharmaceutical companies in public and private offerings, strategic transactions and with respect to corporate governance and Exchange Act matters.
Represented underwriting syndicates in various public offerings, including by Momenta Pharmaceuticals, Idenix Pharmaceuticals, Lexicon Pharmaceuticals and A123 Systems.
Represented a biotechnology company in the acquisition of the RNAi business of a large pharmaceutical company in the form of a stock and asset purchase.
Represented investors and companies in multiple private placements of common stock and convertible securities.
Represented Michaels Stores in a 144A offering of $800 million aggregate principal value notes.
Represented a public company client as part of the intellectual property team in the $1.2 billion acquisition of a technology company, and in the subsequent spin-off of a significant subsidiary.
