Practice

Scott Elliott is a partner in the Corporate Department of Ropes & Gray and is the co-head of the Technology Company and Venture Capital Practice Group.  Scott represents emerging growth and established technology companies, including life sciences companies, as well as venture capital firms and investment banks. He has extensive experience in general corporate matters, with a particular emphasis on corporate finance, including private and public offerings of equity and debt securities, securities law, mergers and acquisitions, and strategic alliances.

Professional Experience

Scott has been involved in a significant number of public offerings over the years representing both companies and underwriters in the sale of debt and equity securities. He also advises many technology companies in corporate finance and securities issues and represents venture capital firms in connection with private and public transactions. Scott has been counsel to numerous software, hardware, medical device and other technology companies from incorporation through venture funding and final exit, including advising clients on mergers and acquisitions and other strategic alternatives.  Scott is a frequent lecturer on matters relating to securities laws and public offerings.

Recent transactions include:
  • Representation of LGC Wireless, Inc. in its sale to ADC Telecommunications, Inc. (NASDAQ: ADCT)
  • Representation of ARC International PLC (LSE: ARK) in various acquisitions
  • Representation of a private equity firm in its acquisition of a life science focused company
  • Representation of Bay City Capital Partners in its investment in Aragon Surgical, Inc.
  • Representation of an online game development company in its Series A financing
  • Representation of Knova Software, Inc. (OTC: KNVS) in its sale to M2M Holdings, Inc., the privately held holding company of two private equity firms
