Scott focuses his practice on mergers and acquisitions, leveraged buyouts and restructuring transactions. During his career, Scott has represented private equity sponsors in acquisitions and restructurings of portfolio companies, sellers of businesses and issuers and investors in securities transactions.

Scott previously served as in-house counsel at a New York Stock Exchange-traded company handling securities matters and acquisitions. Prior to law school, Scott was a financial analyst in the Investment Banking Division of Morgan Stanley & Co. Inc. and Staff Investigator to U.S. Senator William V. Roth, Jr. on the U.S. Senate Permanent Subcommittee on Investigations.

Representative Clients and Matters
  • Represented NSTAR in its pending merger with Northeast Utilities to create one of the nation’s largest utilities, with an enterprise value totaling $17.5 billion. He also represented NSTAR in its disposition of the Medical Area Total Energy Plant to Morgan Stanley Infrastructure Partners and Veolia for $343 million.
  • Represented Pfizer in its acquisition of publicly traded biopharmaceutical company Icagen in a tender offer and second step merger.
  • Represented the partners of Siguler Guff & Company (a multi-strategy private equity firm with more than $9 billion in assets under management) in selling a 20% stake to The Bank of New York Mellon Corporation.
  • Represented funds affiliated with Siguler Guff & Company in PIPE investments in Sun Bancorp and United Community Banks of Georgia.
  • Represented consortium of new equity investors in connection with recapitalization, through a prepackaged bankruptcy proceeding, of Satélites Mexicanos, a provider of fixed satellite services in Latin America.
  • Represented Affiliated Managers Group in investments in a bank holding company and an investment management firm.
  • Represented Weston Presidio in restructuring of Evenflo Company and related equity investment.
  • Represented Goldman Sachs & Co. in connection with secondary sale of portfolio of venture capital investments in US and European healthcare companies.
  • Represented Dunkin’ Brands in acquisition of stores from bankrupt master franchisee in sale under Section 363 of the United States Bankruptcy Code.
