Representative Clients and Matters

• Advised TPG Capital in structuring and obtaining $1.85 billion of aggregate financing for the $3 billion acquisition of J.Crew, a leading nationally recognized apparel and accessories retailer, one of the largest LBOs of 2011 to date.
• Advised Bain Capital in structuring and obtaining a $225.0 million senior secured asset-based revolving credit facility in connection with the $1.8 billion acquisition through an all-cash tender offer of The Gymboree Corporation, a leading children’s clothing retailer.
• Advised a private equity consortium consisting of Berkshire Partners, Bain Capital and Advent International in structuring and obtaining $675 million of aggregate financing for the $1.2 Billion LBO of SkillSoft, the largest to date going private transaction of an Irish public company.
• Represented Bain Capital Asia in structuring and obtaining JP ¥79 billion (~$870 million equivalent) of aggregate senior secured financing commitments to fund the acquisition of Bellsystems 24, Japan’s largest telemarketing firm, in one of the few LBOs closed in 2009.
