Stephen D. Adams

Associate

Stephen Adams joined Ropes & Gray in 2014 as an associate practicing primarily in the firm’s investment management and hedge funds practice groups. Stephen’s practice focuses on counseling registered and unregistered investment companies on a broad range of regulatory, transactional, and strategic matters. Before joining the firm, Stephen helped start the Harvard Law School Bankruptcy and Corporate Restructuring Project and the Harvard Law School Bankruptcy Roundtable, where his research focused on financial institution insolvency and the treatment of derivatives and repurchase agreements in bankruptcy.

Before law school, Stephen worked at Bain & Company, a national management consulting firm, as a senior associate consultant where he served clients across a broad range of industries.

Experience

  • Advised wide range of registered and unregistered investment managers regarding closed-end funds, collective investment funds, business development companies, variable insurance funds, fund-of-funds, and liquid alternative funds under the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934, including with regard to fund launches, annual updates of registration statements, and board matters
  • Advised one of the largest investment management companies in the world on a fund merger involving assets of over $50B
  • Advised major credit hedge fund on investment management aspects of purchase of loan-focused registered investment adviser
  • Advised leading Indian investment manager on adviser registration in the United States and offering to U.S. persons
  • Advised global money manager on tailored fund-of-funds exemptive relief
  • Advised credit-focused hedge fund on launch of new hybrid credit fund, including negotiating side letters with numerous major institutional investors
  • Advised a private fund, with over $25B of assets under management on bankruptcy claim purchases with respect to Lehman insolvency proceedings
  • Represented “buy-side” client in negotiation of ISDA documentation for bond hedge for over $500M issuance of convertible bonds
  • Pro bono practice focuses on corporate advice for nonprofits, including incorporation and tax-exempt applications
