James S. DeGraw

Partner

Jim DeGraw is a partner in Ropes & Gray’s corporate technology group. He regularly provides data incident crisis management counselling, leads investigations into potential data breach events, advises clients on establishing and conducting assessments of information security and data handling governance programs, and helps clients structure data licensing businesses. With a background in computer science, Jim is known for providing clients facing data concerns with practical, strategic advice. Clients he works with include major retail organizations, private equity firms, registered investment advisors, life sciences companies, government contractors, and technology companies. He also co-leads the firm’s digital health initiative.

Jim also has deep technology transaction experience. Jim’s transactional work includes technology-focused mergers & acquisitions as well as working with clients to structure complex and strategic technology relationships, such as cross-border joint ventures, multi-faceted business licensing transactions and tactical business process outsourcing relationships.

Experience

  • Regularly advise major international consumer product companies on their data privacy and collection practices.
  • Advise Target on data compliance and handling issues stemming from the data security breach that Target announced in 2013. 
  • Advise international medical device company on its global informatics program.
  • Advise international pharmaceutical corporation on data handling issues and social media policies.
  • Advise a national health insurance provider on its data incident response program.
  • Advise major PRC-based internet company on joint ventures and other relationships with multi-national software and technology providers.
