Sunil focuses his practice on complex leveraged transactions. He advises private equity clients and their portfolio companies, corporate borrowers and lenders in credit facilities, mezzanine and subordinated financings and high yield offerings. His transactions include numerous large and middle market domestic and international financing transactions.

Experience

  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Implus Corporation, a leading provider of consumer products in the accessories marketplace.
  • Represented Bain Capital and Trinseo S.A., a leading global materials company engaged in the manufacture and marketing of emulsion polymers and plastics, in the refinancing of Trinseo’s senior secured credit facilities and unsecured senior notes.
  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Access Information Management, a provider of records and information management services.
  • Represented Berkshire Partners in connection with the debt financing for its acquisition of Catalina Marketing, a provider of consumer-driven media solutions to CPG manufacturers and retailers.
  • Represented JMI Equity in connection with the debt financing for its acquisition of Dean Evans & Associates Inc.
  • Represented Bain Capital in connection with the sale of Applied Systems, Inc. to Hellman & Friedman. 
  • Represented Berkshire Partners in connection with the debt financing for the acquisition and combination of Light Tower Fiber Networks and Sidera Networks and the add-on acquisition by Light Tower of Fibertech Networks.
  • Represented The Blackstone Group in connection with the negotiation of senior credit facilities for the acquisition of Emdeon, Inc.
  • Represented TPG Capital in connection with the debt financing for the acquisition of J.Crew and its subsequent refinancings, including the issuance of $500 million of PIK toggle notes.
  • Represented Berkshire Partners in connection with the debt financing for the acquisition of Melissa & Doug.
  • Represented Bain Capital in connection with the negotiation of senior secured asset-based revolving credit facilities for the acquisition of The Gymboree Corporation. 
  • Represented Berkshire Partners, Bain Capital and Advent International in connection with the debt financing for the acquisition of SkillSoft, various financings for add-on acquisitions and in its subsequent sale to Charterhouse Capital Partners.
