Caroline Barry
Associate
Caroline Barry is an associate in the private capital transactions group. Before joining Ropes & Gray, Caroline worked as a corporate associate at another large international law firm, representing clients, including private equity sponsors and their portfolio companies, in connection with mergers and acquisitions, leveraged buyouts, sale transactions, fund formation, restructurings and equity investments. Caroline’s practice also includes advising clients on corporate governance and general corporate matters.
During law school, Caroline served as associate managing editor of the St. John’s Law Review, as well as public relations chair of the Coalition for Social Justice and club secretary of the Women’s Law Society. Caroline also interned at the Westchester County District Attorney’s Office, Consumer Justice for the Elderly Litigation Clinic and Catholic Charities Refugee and Immigration Rights Clinic.

Experience prior to joining Ropes & Gray:
- Represented a private equity firm with two successive add-on acquisitions of merchant payment service and processing companies.
- Represented a private equity firm with a platform acquisition of a company providing retail and industrial food waste management and recycling solutions.
- Represented a private equity firm with an acquisition of a group of five insurance service providers.
- Represented a health care private equity firm with an add-on of a company providing healthcare education services.
- Represented founders in the sale of a company providing consulting services and performance marketing strategies to a private equity firm.
- Represented a Swedish company that develops virtual reality simulators for medical training in its acquisition of a U.S. company that develops simulators for surgical robot companies.
- Represented various insurance companies in the financing of a new Major League Baseball stadium for the Texas Rangers.
- Represented one of the largest Latin American private equity fund managers in its restructuring involving its fourth fund with investments across nine portfolio companies.
