Matt Byron focuses his practice on representing public and private companies as well as financial investors in connection with mergers and acquisitions and strategic investments. Matt regularly represents life sciences companies in connection with acquisitions, divestitures and investments in the pharmaceutical, medical device and diagnostics industries. Matt also represents financial sponsors that invest primarily in middle market companies in a broad range of industries, including technology, consumer products, retail, and financial services. Matt has led recent transactions for Johnson & Johnson, Planet Fitness, Samsonite and TSG Consumer Partners.

Strategic Transactions

  • Represented a multinational pharmaceutical company in connection with its acquisition of a clinical stage oncology company;
  • Represented a multinational medical device company in connection with its acquisition of a health care technology company;
  • Represented a multinational pharmaceutical company in connection with its option to purchase a clinical stage company pursuing treatments for certain central nervous system disorders;
  • Represented Samsonite in its acquisition of eBags, Inc. for $105 million;
  • Represented AMAG Pharmaceuticals in its licensing transaction with Palatin Technologies;
  • Represented Performance Health, a maker of physical therapy products, in connection with its sale to Patterson Medical;
  • Represented a multinational medical device and diagnostics company in connection with its divestiture of a diagnostics business unit;
  • Represented Planet Fitness in its sale to TSG Consumer Partners;
  • Represented Celgene in its investment and partnership with a pre-clinical oncology company;
  • Represented EMCOR Group in its $455 million acquisition of RepCon Strickland, a provider of refinery and petrochemical services;
  • Represented the National Football League in certain of its commercial partnership and licensing arrangements;

  • Represented TSG Consumer Partners in connection with its investments in Prive Reveaux, REVOLVE, Paige Denim, thinkThin, Raybern Foods, and Kenra Hair;
  • Represented KarpReilly in connection with its investment in Hooters of America/Texas Wings;
  • Represented Gridiron Partners in connection with its investments in Apex Engineering, HM Dunn, and Quality Solutions;
  • Represented TPG and Taylor Morrison, a home building company, in Taylor Morrison’s restructuring and IPO;
  • Represented TPG in its restructuring and sale of Aptalis, a pharmaceutical company focused on developing treatments for cystic fibrosis;
  • Represented TableUp in connection with its venture capital investment from Allied Minds;
  • Represented Swipely/Upserve in connection with numerous venture capital investments and day-to-day corporate matters;
