Dan advises private equity sponsors and their portfolio companies, as well as public companies, in a broad range of financing transactions, including syndicated credit facilities, ABL facilities, second lien credit facilities, mezzanine financings and high-yield bond offerings.
Experience
- Advised Cabinetworks Group, an American Industrial Partners portfolio company, in connection with obtaining $1.1 billion unitranche term loan and $200 million ABL facility to finance its acquisition of Masco Cabinetry.
- Advised Enverus, a Genstar Capital portfolio company, in connection with obtaining $1.1 billion of financing for its acquisition of RS Energy Group.
- Advised NFP Corp., a Madison Dearborn Partners portfolio company, in connection with a minority investment by HPS Investment Partners and in numerous other financing and recapitalization transactions.
- Advised Creative Artists Agency, a TPG Capital portfolio company, in connection with its $1.1 billion credit agreement refinancing.
- Advised Harvest Partners in connection with obtaining $315 million of debt financing for its acquisition of Yellowstone Landscape, a leading provider of commercial landscaping services.
- Advised Harvest Partners in connection with obtaining $945 million of debt financing for its acquisition of Integrity Marketing Group, a leading independent distributor of life and health insurance products for the senior market.
- Advised Genstar Capital in connection with obtaining $645 million of debt financing for its acquisition of Advarra, a leading provider of institutional review board and consulting services.
- Advised BVI Medical, a TPG Capital portfolio company, in connection with obtaining €595 million of debt financing for its cross-border acquisition of PhysIOL Group and subsequent add-on acquisitions.
- Advised Bain Capital in connection with obtaining debt financing for its acquisition of Innocor, Inc., a leading designer and manufacturer of advanced foam products for the bedding industry.
- Advised IQVIA in connection with obtaining $3.2 billion of debt financing for the formation of IQVIA through the merger of IMS Health and Quintiles Transnational.
- Advised GI Partners in connection with obtaining debt financing for its investment in Daxko, the leading provider of SaaS solutions to member-based health and wellness organizations in North America.
- Advised Mercury Systems, an aerospace and defense technology company, in connection with obtaining $300 million of debt financing for its acquisition of the embedded security and RF businesses and in subsequent financings.
- Advised TPG Capital in connection with obtaining debt financing for its acquisition of Ellucian, a higher education software provider, and subsequent financing transactions.
- Advised TPG Capital in connection with the debt financing for its acquisition of a majority stake in Cirque du Soleil and subsequent add-on financings.
