John M. (Jack) Creedon
Jack Creedon, a partner and global co-head of Ropes & Gray’s real estate investments and transactions group, represents real estate private equity funds, hedge funds, REITs, university endowments and other institutional investors in a wide variety of real estate transactional matters, including joint ventures and co-investments, distressed debt purchases and debt restructurings, complex acquisitions and dispositions, financing, leasing (including sale-leasebacks) and ground-up development.
Jack was named as one of Real Estate Forum’s 50 Under 40, is ranked in Chambers USA, The Best Lawyers in America and The Legal 500 and has twice been named a Law360 Rising Star. Jack has experience both domestically and internationally and has represented clients in transactions in Europe, Asia and throughout the United States.
Jack also works with Pine Street Inn, a national leader in the fight to end homelessness, on various real estate pro bono matters.
Jack has represented many of the world’s leading real estate private equity and hedge fund sponsors and other investors, including:
- A private equity firm in its $565 million acquisition of Bob Evans Restaurants which included 500 owned and leased restaurants in 18 states.
- An international private bank in connection with its $180 million anchor equity investment in a real estate joint venture to develop a new Four Seasons luxury hotel and condominium project in Boston. The $750 million project is one of the largest developments currently underway in Boston, and the 61-story Four Seasons tower will be the tallest skyscraper built in Boston in the last 40 years.
- One of the world's leading private equity sponsors in connection with the $1.8 billion sale of a portfolio of acute care hospitals located throughout the U.S., including the negotiation of a $1.4 billion sale-leaseback and mortgage financing with a public REIT that provided buyer financing for the transaction.
- An institutional client in connection with its anchor equity investment in a real estate joint venture to acquire and develop the Gaylord Hotel and Convention Center in Denver, Colorado, one of the largest hotel projects currently under development in the U.S.
- Institutional investor in a joint venture to acquire more than 20 hotels located across the Northeast with a total purchase price of over $360 million. Representation included the negotiation of the joint venture agreements, financing documents, and all hotel management, lease and franchise agreements.
- A major hedge fund sponsor in a joint venture deal to acquire 5 Times Square in New York City for approximately $1.5 billion. In addition to negotiating the joint venture agreement, the transaction involved the transfer of a ground lease from the City of New York, the assumption of an approximately $1.1 billion CMBS mortgage loan and the defeasance and replacement of the existing mezzanine debt.
- A private equity investor in connection with a $500 million mortgage loan to Sears Holding Corporation secured by 24 owned real estate assets located throughout the U.S.
- Five Star Quality Care, Inc. (“FVE”), one of the largest, publicly traded operators of senior living communities in the U.S., in a $140 million sale-leaseback of 7 senior living facilities, including the restructuring of FVE’s long-term management contracts for such facilities.
- The distressed investment division of one of the world’s largest private equity firms in a series of fast-paced acquisitions of more than 1,000 individual and pooled non-performing loans and foreclosed commercial properties throughout the U.S., with an aggregate value of over $1.5 billion.
- A collection of publicly traded REITs in a series of acquisitions of large Class A commercial, medical and government office buildings totaling several million square feet across the U.S., and with a total acquisition value in excess of $500 million.
- A hedge fund in a joint venture with an international hotel operator to acquire 10 Hilton hotels from Morgan Stanley located in major cities across Europe, including Barcelona, Brussels, Düsseldorf, Luxembourg, Paris and Zurich. The acquisition involved a complex restructuring of the multiple-tranched portfolio debt held by Barclays Capital. Jack has also represented this client in connection with the acquisition of hotels in Prague, Czech Republic and Japan.
- A worldwide biotech company, acting as global real estate counsel on various transactional matters, including negotiating the complex real estate aspects involved in the disposition of three major business units, with an aggregate purchase price of approximately $1.5 billion. Representation involved the disposition of 18 major facilities, including lab, manufacturing and R&D centers located in the U.S., Europe and Japan, as well as the acquisition of a major business unit from one of the world’s largest pharmaceutical companies, the primary component of which involved the acquisition of a $75 million biological manufacturing plant.
