Nicholas (Nick) Cheung is an associate in the securities and public companies practice group in Hong Kong.

Nick focuses on capital market transactions, initial public offerings in Hong Kong and merger & acquisition transactions. He also provides advice on general securities, corporate and compliance matters to both Hong Kong listed companies and private companies.

Prior to joining Ropes & Gray, Nick worked at a leading international law firm in its Hong Kong and New York offices, where he worked predominately on equity and debt capital market transactions.

Mergers & Acquisitions:

  • Advised a fintech company in connection with its US$1.3 billion series C fundraise
  • Advised a private company in connection with its proposed acquisition of an insurance arm of a leading global insurance company
  • Advised a company listed on the Hong Kong Stock Exchange in connection with its US$90 million proposed acquisition of interest in a private company

Equity Capital Markets:

  • Advised 51 Credit Card, Inc. on its HK$1.0 billion initial public offering on the Main Board of the Hong Kong Stock Exchange
  • Advised a placing agent in connection with the placing of shares of a listed company on the Hong Kong Stock Exchange for a total consideration of approximately HK$574 million
  • Advised China Cinda Asset Management Co., Ltd. on its placing of new H shares to COSCO Shipping Financial Holdings Co., Limited for an aggregate consideration of approximately RMB5.49 billion
  • Advised Postal Savings Bank of China Co., Ltd. on its HK$56.6 billion initial public offering on the Main Board of the Hong Kong Stock Exchange (awarded Global Finance Deal of the Year: Capital Markets (Equity) by American Lawyer, Equity Market Deal of the Year by Asian Legal Business, Deal of the Year by China Business Law Journal and Equity Deal of the Year by IFLR Asia)
  • Advised China International Capital Corporation Limited on its HK$5,485.2 million initial public offering on the Main Board of the Hong Kong Stock Exchange (awarded Equity Deal of the Year by IFLR Asia)

Debt Capital Markets:

  • Advised Zhongsheng Group Holdings Limited on its repurchase of HK$2.35 billion convertible bonds due 2018 and issuance of HK$4.7 billion convertible bonds due 2023
  • Advised the initial purchasers in connection with a number of offerings of guaranteed senior notes issued by Oceanwide Holdings International 2017 Co., Limited
  • Advised the initial purchasers in connection with a US$250 million Regulation S only offering by Hong Seng Limited of its 7.875% guaranteed senior notes due 2020
  • Advised CNOOC Limited in connection with its US$3.8 billion SEC-Registered guaranteed notes offering
  • Advised CNOOC Limited in connection with its US$4.0 billion SEC-Registered guaranteed notes offering (awarded Deal of the Year by China Business Law Journal)
  • Advised Tencent Holdings Limited in connection with its US$2.5 billion the Rule 144A and Regulation S notes offering
  • Advised the initial purchasers in connection with a US$225 million Regulation S only offering by Times Property Holdings Limited of its 12.625% guaranteed senior notes due 2019
  • Advised Greenland Hong Kong Holdings Limited in connection with a number of its notes offering
  • Advised the initial purchasers in connection with a US$600 million Regulation S only offering by KWG Property Holding Limited of its 8.975% guaranteed senior notes due 2019
