Yanyan is an associate practicing in Ropes & Gray’s private equity transaction group and is a registered foreign lawyer in the Hong Kong office. Yanyan advises private equity sponsors, major corporations, financial institutions and investment banks on a wide variety of corporate matters including cross-border mergers and acquisitions, private equity transactions, public takeovers, going private transactions, minority investments and joint ventures.  Prior to joining Ropes & Gray, Yanyan was an associate with two leading international law firms in Hong Kong and Shanghai, where she primarily worked on cross-border mergers and acquisitions, public takeovers and foreign direct investment transactions. Yanyan has been admitted to the bar in the PRC and New York.

  • Oceanwide Holdings International Financial Development, in its HK$1.1 billion acquisition of a controlling stake in Quam and the related HK$1.1 billion mandatory offer for the remaining shares, warrants and options of Quam
  • Malaysian sovereign fund (as lead investor) in its investment in a US$160 million Series B fundraising of WeLab, operator of Wolaidai, one of China’s largest mobile lending platforms and WeLend.hk, Hong Kong’s online lending platform
  • China Grand Automotive Services Co. Limited (SSE: 600297), in its US$1.5 billion partial offer for Baoxin Auto Group Limited (HKSE: 1293)
  • China Traditional Chinese Medicine Co. Limited (HKSE: 570), in its issuance of new shares to its controlling shareholder Sinopharm and two executive directors, and its share placement to 26 professional and institutional investors, for a total amount of HK$8.2 billion
  • China Traditional Chinese Medicine Co. Limited (HKSE: 570), in its US$1.43 billion acquisition of a 87.30% stake in Jiangyin Tianjiang Pharmaceutical Co. Ltd., the largest manufacturer of concentrated traditional Chinese medicine granules in China, from eight sellers including, among others, two CICC-affiliated funds, Shanghai-listed Shanghai Jiahua United Co., Ltd. (SSE: 600315) and Shanghai-listed Guangdong Keda Clean Energy Co., Ltd. (SSE: 600499)
  • CITIC Securities International Company Limited, in connection with its investment in China Huarong Asset Management Co. Ltd, one of China's four asset management companies founded to resolve non-performing loans of China's state-owned banks. The investment was part of a RMB 14.54 billion (US$2.35 billion) pre-IPO placement by China Huarong to strategic investors
  • Belmont Hong Kong Ltd. (a wholly-owned subsidiary of Beijing Wangfujing International Commercial Development Co., Ltd), in its US$654 million (HK$5,099 million) acquisition of a 39.53% interest in, and conditional mandatory cash offer for all the remaining issued shares of, PCD Stores (Group) Limited
  • FCI (an affiliate of Bain Capital), a leading Singapore headquartered manufacturer of connectors and interconnect systems, on a US$250 million syndicated term loan in the US institutional loan market, the proceeds of which were used to fund a dividend recapitalization
  • SPG Land in the HK$4,336 million (US$559 million) subscription of new shares by Greenland Holding Group for a controlling interest in SPG Land
  • SPG Land in the RMB 1,077 million (US$172.8 million) sale of its 50% interest in the Peninsula Hotel, Residences and Arcade in Shanghai
  • China Oceanwide Holdings Limited (HKSE: 715), in its US$252 million acquisition of: (1) a 100% stake in a property development project in the downtown area of Los Angeles; and (2) a 60% stake in a power plant project in Medan Industrial Area, North Sumatra, Indonesia from associates of its indirect controlling shareholder, China Oceanwide Holdings Group Co., Ltd, constituting major and connected transactions under the Hong Kong Listing Rules
  • Representation of a Chinese civil air transportation sales agency company in its offshore equity selling and group reorganization for future IPO purpose
  • Representation of a British animal breeding biotechnology company in the bovine and porcine farming sectors in setting up a joint venture with a Chinese milk manufacturer engaging in the breeding of elite pedigree breeding bulls and semen harvesting in Inner Mongolia China
  • Representation of a Swedish resins manufacturer in setting up a wholly foreign owned enterprise in China engaging in the production and sale of liquid resin and composite materials
  • Representation of a Chinese insurance company in purchasing an office building in Beijing
