With extensive experience in licensing, data privacy, digital health, and technology transactions, Chandler is at the forefront of facilitating innovative international collaborations, conducting high-stakes negotiations, and navigating complex regulatory landscapes. She has drafted and negotiated a variety of agreements for the transfer, research, commercialization, and management of technology, IP, and data. Her clients come to her to facilitate transactions and collaborations which require experience across the technology, healthcare, life sciences, and digital health fields. Her clients include prestigious academic institutions, global pharmaceutical and biotechnology companies, non-profit research institutions, and leading private equity funds.

Chandler is currently seconded at the Stanford University Office of Technology Licensing, where she drafts and negotiates agreements to support research at Stanford. These agreements include sponsored research agreements, collaboration agreements, data use agreements, human tissue agreements, and equipment loans.

Chandler often works on complex international and domestic agreements, which require cross-disciplinary experience. Prior to her secondment at Stanford, she worked closely with the data privacy, healthcare, private equity, and mergers & acquisitions practices. During her secondment at Stanford, Chandler collaborates with various departments to ensure that the agreements, and the associated research, comply with regulations and institutional policies. The departments include the Institutional Review Board for research involving human subjects, the University Privacy Office for research that collects or transfers sensitive information, and the Research Management Group.

Chandler is a registered patent agent and is certified in data privacy by the International Association of Privacy Professionals. She is an active member of the Licensing Executive Society, the leading association for intellectual property, technology, and business development professionals. She is also an active member of ChIPs, a professional organization that advances women in technology, law and policy.

Complex Strategic Transactions

  • Negotiated and drafted a license and collaboration agreement between a large research university and a medical clinic. This agreement paved the way for a pilot study on clinical support software.
  • Secured a brand and online platform license for a U.S.-based media company through a multi-year and multi-party negotiation. This complex international negotiation involved a global network of media companies.
  • Negotiated and drafted an agreement for a collaboration and patent license of pharmaceutical compounds. The agreement outlined a strategic partnership between a Fortune 200 pharmaceutical company and a prominent Chinese pharmaceutical company for the development and commercialization of the compounds in China.
  • Drafted and negotiated an agreement for a prestigious research university to join a consortium of academic, government, and non-profit organizations developing a global online platform for research. 

IP, IT, and Data Privacy Due Diligence and Company Purchase Agreement Negotiations for Acquisitions and Venture Capital Investments

  • Served as IP and IT counsel for a publicly traded special purpose acquisition company during its merger with cryptocurrency company W3BCLOUD, valued at over $1 billion.
  • Represented two private equity firms in their joint acquisition of Fortified Health Security, a healthcare cybersecurity company, from Oracle. 
  • Represented Altamont Capital Partners in the acquisition of Nutrition 101, a provider of eco-friendly waste management services, offering comprehensive counsel on IP, IT, and data privacy matters throughout the transaction.
  • Reviews open source software usage, policies, and licenses of digital health companies when serving as IP and IT counsel for private equity investment firms during their acquisitions of digital health companies. 
  • Represented a large investment firm in acquiring an IT services company. Conducted due diligence on software development practices, customer agreements, and reseller agreements.
  • Provided guidance to a publicly traded special purpose acquisition company as IP and IT counsel during its merger with Integrity Implants, a spinal implant-focused medical technology company valued at over $400 million. Conducted an in-depth review of Integrity Implants’ extensive patent portfolio and advised on SEC regulatory compliance. 
  • Represented a major private equity firm as IP and IT counsel in its acquisition of an international cybersecurity company, including advising on complex licensing models for various software products.

  • Negotiated and drafted an agreement for a prestigious university to collaborate with a biotechnology start-up to evaluate ingestible technology in patients. 
  • Drafted and negotiated an agreement for a prestigious university to collaborate with a clinical genetic testing company to validate a diagnostic platform developed by the university. 
  • On behalf of a prestigious research university, drafted and negotiated a long term collaboration agreement with a large public university for cancer research.
