Jason Freedman focuses his practice primarily on transactional matters, representing private equity firms and strategic investors in the structuring and negotiation of leveraged buyouts, cross-border transactions, public and private mergers and acquisitions, PIPE investments, and other direct investments. Additionally, Jason advises clients on corporate governance, securities law, compliance and other general corporate matters. He regularly works with private equity sponsors such as Altamont Capital, Evergreen Coast Capital, Genstar Capital and TPG, and their portfolio companies.
Jason has been recognized as a leading lawyer in private equity by Chambers USA, The Deal and IFLR1000 and was awarded Law360’s 2022 Private Equity MVP for leading complex and ambitious private equity-backed transactions.

- Represented TPG and Clayton, Dubilier & Rice in connection with their acquisition of Covetrus, an animal-health technology and services provider.
- Represented TPG Capital in its acquisition of ClaimsXten, Change Healthcare’s claims payment and editing business.
- Represented WellSky Corporation, a portfolio company of TPG Capital, in its add-on acquisition of Curaspan Health Group, a healthcare IT company.
- Represented TPG Capital in its $462 million sale of IPG, a provider of surgical cost management solutions.
- Represented TPG Capital on its investment in Musixmatch, a global music data platform.
- Represented TPG Capital in its acquisition of a majority stake in Nintex, a leading end-to-end process management and workflow automation software provider, from Thoma Bravo.
- Represented Cybot, a developer of cyber security software, in its combination with Usercentrics.
- Represented McAfee Corp. in its pending $4 billion sale of its Enterprise business to Symphony Technology Group.
- Represented HBC, the holding company of Saks Fifth Avenue, Hudson’s Bay, and Saks OFF 5th, in a partnership with Insight Partners to establish Saks OFF 5th and Saks Fifth Avenue’s ecommerce businesses as standalone entities.
- Represented TPG Capital in its investment in DirecTV with AT&T.
- Represented TPG Growth in its investment in Benevity, a software company that provides charitable donation-management and grant-management platforms.
- Represented Planview, a portfolio company of TPG Capital and TA Associates, in its add-on acquisitions of Clarizen, a global leader in enterprise collaborative work management, and Changepoint, a leading enterprise portfolio management provider.
- Represented TPG Capital and TA Associates in their $1.6 billion joint acquisition of Planview, a software company providing portfolio management and work management solutions.
- Represented Entertainment Partners, a portfolio company of TPG Capital, in its add-on acquisition of SyncOnSet Technologies, a provider of software solutions to TV and film productions and studios.
- Represented WellSky, a portfolio company of TPG Capital and Leonard Green & Partners, in its acquisition of Careport, a care coordination software company that connects health care providers and payers, from Allscripts.
- Represented TPG Capital in its sale of 50% stake in WellSky, a provider of health care software solutions, to Leonard Green Partners. As part of the deal, TPG Capital made a new equity investment in WellSky.
- Represented TPG Capital in its investment in Viking River Cruises, a cruise line providing river, ocean, and expedition cruises.
- Represented Genstar Capital in its sale of Innovative Aftermarket System (IAS), a software solutions provider to finance and insurance departments of automotive dealerships, to iA Financial Group.
- Represented TPG, in partnership with Hellman & Friedman, in the acquisition of Checkmarx from Insight Partners valued at 1.15 billion. Checkmarx is a cybersecurity business that enables organizations to deliver secure software at scale.
- Represented Evergreen Coast Capital in connection with their investment in WorkForce Software, a company that provides enterprise and mid-sized organizations with cloud workforce management solutions.
- Represented TPG Growth, TPG Tech Adjacencies and Sixth Street Partners (f/k/a TPG Sixth Street Partners) in connection with their investment in Kaseya, a provider of IT infrastructure solutions.
- Represented TPG Capital in its acquisition of Entertainment Partners, the leading global end-to-end provider of production workforce management and automated production software and services to the entertainment industry.
- Represented Cirque du Soleil Entertainment Group in its acquisition of VStar Entertainment Group, a family entertainment company focused on integrated production services.
- Represented Cirque du Soleil Entertainment Group in its acquisition of The Works Entertainment, Inc., a company known for The Illusionists franchise.
- Represented Sixth Street Partners (f/k/a TPG Sixth Street Partners) in connection with investment of up to $150 million in senior secured debt, convertible notes and warrants of Caris Life Sciences.
- Represented TPG Growth in its partnership with management to acquire HALO Branded Solutions, a leading marketing services platform, from Audax Private Equity.
- Advised TPG Capital in its definitive agreement to acquire Exactech, a leading developer and producer of orthopaedic implant devices and surgical instrumentation for extremities and large joints.
- Represented TPG Capital in its investment into a business combination of Amneal Pharmaceuticals LLC, a generic pharmaceutical manufacturer, and Impax Laboratories, Inc., a specialty pharmaceutical company.
- Advised Altamont Capital Partners in its majority equity investment into Sequel Youth & Family Services, a leading national provider of diversified behavioral health programs across the United States.
- Advised TPG Capital and Mediware Information Systems, Inc. in Mediware’s definitive agreement to acquire Kinnser Software, Inc.
- Advised TPG Capital in its definitive agreement to acquire Mediware Information Systems, Inc., a supplier of SaaS and other software platforms for health care and human services providers and payors, from Thoma Bravo.
- Advised Netmarble Games Corp., a leading mobile game company headquartered in South Korea, in its agreement to acquire Kabam’s Vancouver studio. Kabam is a world leader in multiplayer free-to-play games for mobile devices.
- Represented TPG Growth in is acquisition of Tex-Mex quick service restaurant plus chain Taco Bueno, which operates across 177 locations in Texas, Oklahoma, Missouri, Kansas, Arkansas, Louisiana and Colorado.
- Represented Petco and its principal stockholders TPG Capital and Leonard Green & Partners in the sale of Petco to CVC Capital Partners and Canada Pension Plan Investment Board for approximately $4.6 billion.
- Advised TPG Capital on its agreement to acquire a majority stake in Cirque du Soleil, the world-renowned live artistic entertainment producer.
- Represented TPG Capital in its investment in lynda.com, a subscription-based online learning company.
- Represented TPG Capital in its investment in Advent Software, Inc., a software provider for the financial services industry.
- Represented HIG Capital in its tender offer to acquire American Pacific Corporation (AMPAC). AMPAC is a leading custom manufacturer of fine chemicals and specialty chemicals within its focused markets in the pharmaceutical, aerospace and defense, fire protection and water treatment industries.
- Represented Bain Capital in the sale of MEI Conlux, a manufacturer of electronic payment solutions and transaction systems, to Crane Co. for over $800 million.
- Represented Altamont Capital in its investment in Brixton, a surf, skate and streetwear apparel brand.
- Represented Altamont Capital in its investment in the apparel and sporting goods brand HUF Worldwide.
- Represented Altamont Capital in its acquisition of Mervin Manufacturing, a maker of snowboarding hardware equipment, from Quiksilver, Inc.
- Represented Altamont Capital in its financing of Billabong and acquisition of the DaKine brand from Billabong.
- Represented Russian Standard, a leading private company in Russia with interests in premium vodka, spirits distribution, banking and insurance, in connection with its strategic alliance with Central European Distribution Corporation, a NASDAQ listed spirits distributor in Eastern Europe and Russia.
- Represented TPG Opportunities Partners and Goldman Sachs European Special Situations Group in connection with their joint acquisition of the Lundy Portfolio from Lloyds Banking Group.
- Represented Altamont Capital in connection with its PIPE investments in Meta Financial Group, a NASDAQ listed bank holding company.
- Represented Genstar Capital with its acquisition of Innovative Aftermarket Systems, a marketer, administrator and underwriter of vehicle protection products and related services.

- Represented TPG Capital in the $1.5 billion acquisition of Ontex, a leading European diaper manufacturer.
