Shabdita Gupta joined as an associate in the finance practice of Ropes & Gray’s London office in 2018. Shabdita works within the firm’s finance group, with a particular focus on leveraged financing transactions, high yield debt offerings, corporate reorganizations and refinancing transactions. 

Prior to joining the firm, Shabdita worked in a leading U.S. law firm in New York, where she worked in the private equity group advising private equity sponsors in mergers & acquisitions and related corporate finance work. Shabdita has also worked as an attorney in Mumbai, India for over four years, where she has advised on a wide range of corporate transactions, including cross border mergers and acquisitions, foreign investments and entry strategies in India.

Experience

  • BidFair on its US$3.7 billion acquisition of Sothe­by’s, which included advising on the acquisition financing aspects of the transaction, including a $600 million high yield bond, a $500 million Term Loan B and a $400 million revolving credit facility
  • Liberty Global, Virgin Media and O2 on the £5.7 billion-equivalent, bond and loan secured financing in connection with the joint venture combination of O2 and Virgin Media by Liberty Global and Telefonica, creating a company with a value of more than £30 billion
  • Liberty Latin America on its US$1 billion SPV-structure term loan B acquisition financing of AT&T’s operations in Puerto Rico and the US Virgin Islands and related US$125 million group revolving credit facility

High Yield Bond Issuances

  • Altice USA, one of the largest broadband communications and video services providers in the United States, in connection with the financing aspects of the combination of the Suddenlink (Cequel) and Optimum (Cablevision) credit groups under a single credit silo to simplify it structure and operations, involving exchange offers and consent solicitations with respect to six tranches of Suddenlink notes in an amount of $5.5 billion. Ropes & Gray was awarded the Transatlantic Finance Team of the Year at the Legal Week Transatlantic Awards in connection with its representation of Altice USA on this transaction
  • Goldman Sachs and other banks in connection with a €850 million equiva­lent bridge to bond and super-senior revolving facilities supporting the SEK13 billion public to private takeover offer by the founding family in respect of Ori­flame Holding AG, a Swiss company listed on Nasdaq Stockholm
  • CSC Holdings, LLC, a subsidiary of Cablevision Systems Corporation and Altice USA, Inc., on multiple senior notes refinancing transactions, including its US$1,500 million, US$1 billion, US$1.5 billion, US$750 million, US$625 million and US$500 million offerings and its senior guaranteed notes refinancing transactions, including its US$1,300 million, US$1,000 million, US$1,500 million, US$1,100 million and US$1,500 million offerings
  • Altice France in connection with the financing aspects of its complex multi-part transaction to significantly simplify the Altice group’s capital structure, including a 2.1 billion equivalent offering of senior notes and senior secured notes, a multi-tranche exchange offer for 1.4 billion and $1.6 billion of notes issued by Altice Luxembourg and the automatic flip-up of 1.6 billion of senior notes to a new holding company of Altice France
  • Altice France in connection with the offering of €1 billion 5.875% senior secured notes due 2027 and US$1.75 billion 8.125% senior secured notes due 2027, and its US$2.5 billion term loan facility to refinance certain existing indebtedness
  • Altice Luxembourg in connection with the issuance of €2.8 billion senior notes due 2027 and the related financing backstop commitments
  • Altice Europe in connection with the financing aspects relating to the sale of equity stakes in their telecommunications towers businesses in France and Portugal
