Carol Hopper


Carol Hopper is a partner in Ropes & Gray’s real estate group in London with experience advising funds, investors, bank and non-bank lenders and corporate clients on a wide variety of domestic and international real estate based transactions.

She has a breadth of experience acting for investors at all levels of the capital stack across the full risk spectrum and in a wide range of sectors from office, industrial, residential, hotel and leisure to infrastructure and public/private finance transactions. Carol joined the firm in January 2015.


  • Acting for Oakley Capital on the acquisition of TechInsights, a technology patent analysis business
  • Acting for the leading listed global packaging business in the UK on a £300 million combined heat and power facility in Kent. The completed facility will generate over 40 MW of sustainable electricity to power UK homes and businesses
  • Acting for TH Real Estate, a leading real estate investment firm, in providing finance for a portfolio of commercial properties in London. The properties are to be converted into co-working office spaces
  • Acting for one of the world’s largest investment funds based in the US on a number of its real estate matters including on a number of issues arising from the redevelopment of properties within a joint venture focused on generating senior living accommodation in greater London
  • Acting for a UK based investment institution on the first ever shared equity residential mortgage back securitisation including the transaction to acquire the portfolio of mortgages as well as the securitisation to fund the acquisition
  • Acting for APG, the Netherlands based privately owned pensions and investments manager, on its acquisition of a 75% interest in the Edinburgh St James Shopping Centre with the Henderson UK Shopping Centre Fund

Notable transactions in which Carol has been involved prior to joining the firm include:

  • Acting for a leading European real estate investment and asset manager on it’s acquisition and subsequent disposal of various corporate vehicles and JPUTs holding a variety of different kinds of real estate assets
  • Acting for a leading European packaging company in relation to all its real estate projects at its biggest paper mill in Europe
  • Acting for a motorway services and hotels company on a number of their motorway service areas including advising them on recent sales of the corporate group and three re-financings as well as real estate/landlord and tenant matters and the sale of a motor way service area
  • Acting for a Middle-Eastern investor on a wide ranging portfolio of real estate including offices, hotels and farms
  • Acting for a leading global investment bank on the financing of the acquisition of a hotel group running 19 properties in England and two in Scotland
  • Acting for a leading European specialist bank on a number of projects including the refinancing of a multi-tenant commercial property portfolio of around 70 properties in France, Germany and Spain
  • Acting for a global infrastructure business on it’s building schools for the Future programme and on its OFTO acquisition of a number of transmission assets of offshore wind farms
