Associate
Danielle Heinlein is an associate in the venture capital & emerging companies and securities & public companies practice groups at Ropes & Gray. Her practice focuses on transactional matters, including advising emerging companies and venture capital, institutional and strategic investors on formation and startup matters and equity financing transactions. In addition, she represents clients on a variety of strategic transactions, including joint ventures, mergers and acquisitions, capital markets transactions, and private financings. She also regularly advises clients on securities law reporting and compliance obligations, including drafting and reviewing registration statements, proxy statements, and other regulatory filings, and counsels them on general ongoing corporate and governance matters, such as preparing materials for routine and special meetings of boards of directors and stockholders.
Danielle maintains a robust pro bono practice, including representing public charities with the non-profit entity formation and dissolution processes, as well as a advising a local non-profit impact investing fund with various investments focused on economic and racial justice.
During law school, Danielle was a summer fellow for the Technology Law Clinic, served as an editor for the Boston University Journal of Science & Technology Law, and was an active member of the Business Law Association.

- Regularly represents Pfizer Ventures in various investments, including its Series A investment in Mediar Therapeutics, Inc., its Series B-1 extension investment in Ribon Therapeutics, Inc., and its Series D investment in Carrick Therapeutics Limited.
- Advised a public biotechnology company in connection with a $50 million registered underwritten at-the-market offering of its common stock.
- Represented Ginkgo Bioworks in its acquisition of Altar, a French biotechnology company that has developed a proprietary adaptive evolution platform.
- Assisted Altimeter Growth Corp. in its $40 billion merger with Grab Holdings, Southeast Asia's leading super-app for ride-hailing, deliveries, and financial services.
