Ellen Yiadom Hoover
Ellen Yiadom Hoover is an associate in the corporate department and a member of the firm's investment management group. Ellen’s practice focuses on counseling registered investment companies (including exchange-traded funds, open-end mutual funds and closed-end funds) and independent directors of registered investment companies on a range of regulatory, compliance and transactional matters arising under the Investment Company Act of 1940.
Prior to joining the firm, Ellen was an associate in the investment services group of another law firm.
Ellen currently serves on the board of the Daniel Murphy Scholarship Fund.
- Advising independent directors of registered investment companies on fiduciary duties and governance matters, especially with regard to investment advisory contract renewal requirements under the Investment Company Act of 1940;
- Drafting and reviewing registration statements, shareholder reports and other regulatory filings; and
- Drafting proxy statements, conducting due diligence reviews and preparing closing documents in connection with affiliated fund reorganizations.
