Elie D. Krief

Associate

Elie D. Krief is a private equity associate at Ropes & Gray. He acts as counsel to domestic and international buyers and sellers in domestic, cross-border and global mergers and acquisitions, joint ventures and private investments across a broad range of industries.

Prior to joining Ropes & Gray, Elie was as an associate in the corporate department of another leading international law firm, focusing on cross-border mergers and acquisitions and capital markets transactions for international private, public, and institutional clients.

Elie started his career at the Supreme Court of Israel where, from 2017 to 2018, he served as a law clerk for the (Ret.) Hon. Chief Justice Miriam Naor. Subsequently, he worked as a European M&A and Private Equity Trainee Lawyer of a leading international law firm in Paris.

  • Represented Bombardier Transportation (Investment) UK Limited—the rail division of Bombardier Inc. (TSE: BBD.B)—in its sale of the entire issued share capital of for US$6.2B to Alstom (EPA: ALO)*
  • Represented Rona Inc. (TSX:RON) in the sales and management of several of its franchised stores across Canada*
  • Represented Numinus Wellness Inc. (CVE: NUMI) on acquisition and restructuring of the entire issued share capital of MindSpace Psychology Services Inc.*
  • Represented Bombardier Inc. (TSE: BBD.B) in its sale of the CRJ Series programs for US$550M to Mitsubishi Heavy Industries Ltd. (TYO: 7011)*
  • Represented MMC Packaging in its sale of the entire issued share capital to Tekni-Plex Inc.*
  • Represented Hakuhodo DY Holdings Inc. of Japan (TYO: 2433) in connection with its acquisition of Sid Lee International Inc.*
  • Represented Cube Infrastructures Managers in connection with its investment in Group-SAVAC and the acquisition of Lacroix*
  • Represented The Groupe Lyonnais JOA on the acquisition of Casino de Gujan-Mestras (Gironde) from Socofinance*

  • Represented Parkland Corporation (TSX: PKI) on the offering of US$800 million aggregate principal amount of 4.5% Senior Unsecured Notes due 2029* 
  • Represented Videotron Ltd. on the offering of C$650 million aggregate principal amount of 3.125% Senior Notes due 2031*
  • Represented SNC-Lavalin Group Inc. (TSE: SNC) on the concurrent private placement of C$300M series 6 debentures and repurchasing of C$40M series 1 debentures*
  • Represented ENENSYS Technologies (ALNN6: EN Paris) on its initial public offering on the Euronext Growth market in Paris for €59M*

Strategic Placements

  • Represented three of the largest Canadian pensions funds (e.g., CDPQ, CPPIB, and OTPP) on the strategic financing of C$3.2B to support Intact Financial Corporation’s (TSE: IFC) proposed acquisition of RSA (LON: RSA) for £7.2B*
