Mike Knauss is an associate in the corporate department. His practice focuses on representing investment advisers and private funds in a variety of regulatory, compliance and transactional matters. He provides advice regarding the formation, registration and operation of new and existing private funds. He also has assisted registered investment companies and advisers with seeking exemptive relief for, and establishing, interfund lending programs. Mike works regularly with clients to respond to new rules and regulations affecting their compliance programs, derivatives trading activities, and fund management and operations.
Prior to attending law school, he was Senior Vice President of Strategic Initiatives at Allianz Global Investors, where he supported the investment adviser, distributor, and administrator for the PIMCO and Allianz Funds. His experience includes work on strategic projects for open-end and closed-end funds and separately managed accounts. During law school, Mike was an assistant managing editor of the Brooklyn Law Review, and afterward he worked as a law clerk to Judge Frederic Block of the U.S. District Court for the Eastern District of New York.
- Advise private fund investment managers in various regulatory and compliance matters, including SEC registration and filings, compliance policies and procedures, marketing and advertising rules with respect to fundraising and marketing activities, and ad-hoc compliance issues.
- Advise private fund and registered fund managers on derivatives and trading matters, including negotiation of ISDA Master Agreements, OTC derivatives contracts, and Dodd-Frank compliance matters.
- Advise hedge fund sponsors (bank and non-bank), on the structuring, launch, maintenance, and liquidation of domestic and offshore private funds and funds-of-funds.
- Advise registered funds and asset managers in the preparation of exemptive applications and development of related policies and procedures.
