Violetta Kokolus

Partner

Violetta Kokolus is a partner in the intellectual property transactions group. She advises on complex technology and intellectual property transactions, as well as on critical IP and privacy/cybersecurity aspects of M&A transactions across various industries. 

Violetta has been involved in countless M&A transactions in her career, leading negotiations and resolving complex IP issues that arise during diligence. Additionally, Violetta has extensive experience with strategic IP licensing and commercial transactions, such as IP acquisitions, licensing matters, joint ventures, and research and development collaborations. She has also guided clients on legal issues related to data strategies and monetization, along with the integration of artificial intelligence.

Prior to joining Ropes & Gray, Violetta practiced at a leading international law firm in New York. She also was seconded as legal counsel to Apple Inc. in Cupertino, California and Panasonic Corporation in Osaka, Japan.

  • Advised a multi-vertical cloud company in carve-outs related to a variety of its tech and software businesses*

  • Represented a software company in managing its IP licensing and development matters, including negotiating a joint development agreement and source code license agreements*
  • Advised a biotech company in connection with a sale involving complex issues regarding earn-outs and milestone payments*
  • Advised a pharmaceutical company in connection with its joint development and collaboration agreement*
  • Represented a technology company in connection with a complex cross-license required under a settlement*
  • Advised a software company in creating its form documents relating to its SAAS offerings*
  • Represented a consumer products company with respect to licensing of its key brands to international partners*
