Annise Maguire

Counsel

Annise Maguire joined Ropes & Gray’s real estate group as counsel in 2021, expanding the firm’s environmental, social, governance (ESG) capabilities. Her practice focuses on environmental, health, and safety (EHS) and product stewardship liabilities that arise in domestic and international business and real estate transactions, as well as providing guidance to corporate, asset management, real estate and other clients on critical legal, compliance, and business matters tied to ESG factors.  

Prior to joining Ropes & Gray, Annise worked as an ESG consultant for a Fortune 500 company. She also brings with her years of experience in private practice gained at both an environmental-boutique law firm and a premier U.S. law firm, where she advised clients on various EHS and sustainability matters, with an emphasis on transactions, regulatory compliance, and litigation. 

Experience

  • Drafted and negotiated EHS provisions in transaction agreements; advised on environmental issues that arise during a bankruptcy and/or restructuring, and assisted clients with risk mitigation.*
  • Assessed a client’s current ESG program, including analysis of how performance on specific metrics compared to peers and identifying growth and improvement targets, and assisted with tracking of, and reporting on, various ESG frameworks and standards.*
  • Monitored local, state, federal, and international EHS regulations; advised clients on compliance prior to, during, and following deals and development projects, including OSHA and other EHS permitting and reporting obligations such as conflict minerals disclosures and supply chain due diligence.*
  • Advised on domestic and international product stewardship requirements, such as the EU REACH and California’s Proposition 65 and ARB regulations.*
  • Worked with environmental consultants to improve clients’ EHS management and systems, including consideration and integration of sustainability initiatives.*
  • Helped buyers and sellers, lenders and borrowers, and landlords and tenants to identify, quantify, and allocate environmental liabilities that arise in real estate transactions.*
