Amanda McGrady Morrison


Amanda McGrady Morrison advises a broad range of clients on M&A transactions.  She is co-head of the firm’s private equity industry group and has significant experience leading leveraged buyouts and dispositions of companies, as well as guiding minority investments, recapitalizations and restructurings.  Amanda also regularly assists clients with corporate governance matters and routinely counsels asset managers in connection with fund formation, internal operations and transactions.  Some of her clients include Advent International, Cove Hill Partners, HarbourVest Partners, TPG Capital, State Street, Summit Partners and Summit Rock Advisors.

Amanda is recognized as a leading lawyer for M&A and private equity transactions, including Chambers USA: America’s Leading Lawyers for Business and the International Financial Law Review.

Amanda is also co-chair of the firm’s Women’s Forum, which sponsors a wide range of initiatives aimed at promoting and supporting our female attorneys and clients.

    • investment in U.S. Renal Care, Inc., a leading provider of dialysis services
    • acquisition of Paradigm Outcomes, a provider of complex and catastrophic medical management to the U.S. workers’ compensation industry, and subsequent sale to OMERS Private Equity
    • investment in DuPage Medical Group, a multi-specialty physician group
    • investment in PharmScript, a leading pharmacy provider to long-term care and post-acute care facilities
  • Represented Summit Partners-backed ABILITY Network, a provider of web-based work-flow solutions for the healthcare industry, in its $1.2 billion sale to Inovalon
  • Represented Cove Hill Partners in relation to its: 
    • acquisition of LiveAuctioneers,a leading online live-auction source for fine and decorative art, antiques, jewelry and vintage collectibles
    • investment in NetDocuments, a secure cloud-based content services platform for law firms and corporate legal and compliance departments
    • acquisition of SpareFoot, Inc., an online self-storage marketplace, and SiteLink Software LLC, a provider of cloud-based software services for the self-storage industry
    • investment in Gamma Technologies, LLC, a leading provider of engineering simulation software
  • Represented DuPage Medical Group, one of the nation’s largest independent, multi-specialty physician groups, and DMG Management Services in a US$1.45 billion strategic partnership with Ares Management
  • Represented TPG Capital in relation to its:
    • acquisition of Beaver-Visitec International, a leading global developer, manufacturer and marketer of ophthalmic and other specialty microsurgical products 
    • sale of Vertafore, a provider of adaptable technology solutions for the insurance industry, to Bain Capital Private Equity and Vista Equity Partners
    • the U.S.$1.9 million take-private acquisition of Par Pharmaceutical, a developer and manufacturer of generic drugs and proprietary pharmaceuticals
    • the US$5.2 billion take-private acquisition of IMS Health, a provider of market intelligence to the pharmaceutical and healthcare industries
  • Represented TPG Capital-backed Eze Castle, a premier provider of global order management and related technologies, in its sale to SS&C Technologies for US$1.45 billion
  • Represented Advent International and Mediq B.V. in the sale of Byram Healthcare to Owens & Minor
  • Represented State Street in relation to its: 
    • acquisition of GE Asset Management, a global asset manager with approximately US$110 billion in assets under management
    • sale of JV interests in Boston Financial Data Services and International Financial Services to DST Systems
  • Represented Silver Lake Partners, Bain Capital, The Blackstone Group, Goldman Sachs Capital Partners, KKR, Providence Equity Partners and TPG Capital in the US$11.3 billion take-private of SunGard Data Systems, a global leader in integrated software and processing solutions primarily for financial services
  • Represented SunGard Data Systems, a software and technology services company with annual revenue of approximately US$2.8 billion, and its private equity shareholders in its tax-free split-off of SunGard Availability Services
  • Represented the Special Committee of Cole Credit Property Trust II in its merger with Spirit Realty Capital to create a US$7.1 billion triple-net-lease REIT
  • Represented Bare Escentuals, a premium cosmetics company, in its US$1.7 billion sale to Shiseido
