Tim is an associate in the firm’s corporate department. Tim focuses his practice on representing public companies, investment banks and private equity firms and their portfolio companies in connection with capital markets transactions, private financings and compliance with securities laws and stock exchange rules and regulations, as well as mergers & acquisitions, other strategic transactions and general corporate governance matters.

Prior to joining Ropes & Gray, Tim worked as a corporate associate at another leading law firm in New York.

Experience

  • Spent approximately nine months on a client secondment providing advice and support to the publicly traded mortgage REIT arm of a global private equity firm on financing transactions, securities law compliance and corporate governance.
  • Ongoing representation of public company clients in connection with securities law and corporate governance matters.
  • Represented Surgery Partners in connection with its Rule 144A/Reg S $800 million senior notes offering and the redemption of two series of its outstanding senior notes.
  • Represented TSG Consumer Partners in connection with secondary equity offerings of Dutch Bros common stock of over $500 million in aggregate.
  • Represented CCMP Capital Partners and Hillman Solutions Corp. in connection with secondary equity offerings of $143 million and $220 million.
  • Represented the lead underwriters in the initial public offering of TPG Inc.
  • Represented the initial purchasers in connection with Trinity Capital Inc.’s offering of $125 million of senior notes.
  • Represented a national franchise restaurant chain in connection with its offering of $315 million senior secured notes under its whole-business securitization.
  • Represented Humana in connection with its issuance of $1.1 billion of senior notes.*
  • Represented JELD-WEN and Onex Corporation in connection with secondary equity offerings of $233 million.*
  • Represented the initial purchasers in connection with an annuities and insurance company’s several Rule 144A/Reg S issuances of senior notes totaling over $4.5 billion in aggregate.*
  • Represented the initial purchasers in connection with Extra Space Storage’s issuance of $450 million of senior notes.*
  • Represented the initial purchasers in connection with Athene Holding Ltd.’s issuances of senior notes and preference shares totaling over $1.5 billion in aggregate.*
  • Represented the initial purchasers in connection with Ladder Capital Corp’s issuance of $750 million of senior notes.*
  • Represented Sinclair Broadcast Group in its issuance of $1.025 billion of perpetual preferred equity, the proceeds of which were used to fund a portion of the acquisition of regional sports networks that were acquired by the Walt Disney Company in its acquisition of Twenty-First Century Fox, Inc.*
  • Represented the underwriters in connection with Scorpio Tankers’ follow-on offering of $300 million of common stock.*
  • Represented the initial purchasers in connection with the issuance by New Mountain Finance Corporation of $50 million of senior notes.*
  • Represented a global consumer goods corporation in the replacement of its revolving credit facility.*
