Arnav Prasad has been an associate in the firm’s corporate department since 2017. Arnav’s practice spans general corporate and finance advisory work. He represents private equity firms, corporate borrowers and other borrowers in complex financings. Arnav is highly experienced in a wide variety of capital raising structures—with an emphasis on leveraged acquisition finance. Arnav has experience in cross-border acquisitions and was previously an associate in the firm’s London office. Arnav is recognized by Best Lawyers in America as ‘One to Watch’ for the year 2021-2022.

Prior to joining the firm, Arnav was practicing as an attorney in Mumbai and New Delhi, India.

Arnav has worked on a broad range of transactions previously including public and private mergers and acquisitions, and general corporate law as well as advising financial and strategic investors on their investments in India.

Experience

  • Represented MolyCop, a portfolio company of American Industrial Partners, in connection with a $1.275 billion refinancing of its existing secured notes and ABL financings.
  • Represented New Mountain Capital in obtaining $225 million in first lien secured credit facilities for its acquisition of the chemical business of Aceto in a 363 bankruptcy sales process.
  • Represented American Industrial Partners and its portfolio company Shape Technologies Group in obtaining $315 million in term loan and cash flow revolving facilities and a $60 million ABL facility to refinance existing debt.
  • Advised Harvest Partners in connection with obtaining $1.4 billion of debt financing for its acquisition of Affordable Care, a leading dental practice management company.
  • Advises a wide variety of equity, debt and real estate funds on capital call subscription facilities, including the following clients: ACORE Capital; AlpInvest Partners; CCMP Capital; H.I.G. Capital; and Gauge Capital.
  • Represented New Mountain Capital in obtaining financing for its acquisition and merger of IMA Consulting and Revint Solutions and the subsequent acquisition of Naveos.
  • Advised KKR Credit Advisors in the refinancing of term loan debt of EACOM Timber Corporation, a Canadian timber company and Kelso portfolio company.
  • Advised the underwriters in connection with First Quantum Minerals Ltd.'s $1.85 billion high yield senior notes issuance to, among other things, fund development projects in Panama.
  • Advised Virgin Media Inc. on its issuance of receivables financing notes and related financing arrangements.
